Abstract:
Občanský zákoník obsahuje povinnost člena statutárního orgánu jednat při výkonu funkce s péčí řádného hospodáře a s jejím porušením spojuje mimo jiné povinnost nahradit právnické osobě škodu způsobenou při výkonu funkce. Cílem tohoto článku je zodpovědět otázku, zda členové statutárních orgánů právnických osob odpovídají za jednání s péčí řádného hospodáře objektivně nebo subjektivně. Skutečnost, zda bude odpovědnost členů statutárních orgánů právnických osob chápána jako subjektivní či objektivní, je rozhodná z hlediska posouzení kritérií, na jejichž základě tyto osoby budou či nebudou povinn

Předkládaná práce si klade za cíl analyzovat současnou právní úpravu obchodních společností v oblasti statutárních orgánů. Kromě analýzy české právní úpravy, je rovněž podán stručný přehled právních nástrojů používaných Evropským společenstvím k aproximaci právních řádů členských států a v současnosti existujících nástrojů v oblasti práva společností a vývoj evropské legislativy a Kodexy správy a řízení společností. Ze srovnávacích důvodů je na závěr práce zařazen stručný přehled práva společností a organizační struktury společností v irském právním řádu.

The diploma thesis is focused on a state of the statutory body in companies. The legal regulation is set by the Act Nr. 513/1991 Coll. commercial code, as amended. The attention is given to the way to institute statutory bodies, duties and responsibility of members of statutory bodies and the way to act of companies. The new conception of the legal regulation of companies, especially of the state of statutory bodies, is mentioned at the conclusion.

Diplomová práce se zabývá charakteristikou postavení orgánů statutárního města Mladá Boleslav. Zejména je kladen důraz na zastupitelstvo města a jeho výbory, radu města a její komise, primátora a magistrát. Cílem je zaměřit se na jejich postavení, strukturu, pravomoc a působnost. Dále se snaží zachytit změny u jednotlivých orgánů, ke kterým došlo jak z hlediska demografických tak sociálních charakteristik. Konkrétně jsou porovnávány dvě po sobě jdoucí volební období 1998-2002 a 2002-2006.

Abstract:
The subject of the thesis is analysis of executive and supervisory bodies of joint-stock companies based on the legislation effective since 1st January 2014. The goal is to describe the structure of such bodies, their establishment, competence and guidelines for action. By comparing with the former legislation, it aims to find the differences, new institutes a possibilities brought by the recodification of private law and thus evaluate their effect and possible future influence. The thesis also points out some potentially controversial parts and defects of the new legislation.
