In the third chapet, we talk about the taxation proceedings. And in the last one, we talk about the future of this low which penalises the enterprises's transfers when it's the economic crisis

Full textLa succession en entreprise familiale non cotée semble être une étape cruciale à la fois pour l'entreprise et pour la famille : elle peut remettre en cause la pérennité de l'entreprise et le déchoir de l'héritage familial. Réussir sa transmission c'est donc assurer la continuité de la lignée familiale, la survie et le développement de l'entreprise, la protection des emplois et la garantie de la valorisation du patrimoine. Depuis les travaux pionniers de Christensen (1953), le thème de la succession en entreprise familiale a été l'objet d'une littérature scientifique abondante. Cependant, le présent travail qualifié d'exploratoire, abordera ce sujet d'un nouvel angle, puisqu'il se propose d'étudier le cas particulier de la fille successeur dans un cadre géographique et culturel spécifique : le Liban. En effet, la nomination de cette dernière en tant que repreneur du flambeau est susceptible d'amener des modifications quant à la planification de la succession, aux critères de choix du successeur et à sa socialisation. Ces changements risquent même d'affecter la période critique d'après succession, le style de management avec lequel les affaires sont menées ainsi que les mécanismes de gouvernance mis en place

Full textBy focusing on one specific way of the transmission of the personal network within the family enterprise, which managed to transfer the enterprise to at least one member of the next generation, that means to reflect on an emerge phenomenon which researchers on. SME and Entrepreneurship have shown, till this time, little interest. Therefore, o objective is to focus on a potential transmission of the Tunisian family enterprise to its daughter-successor. Within the regard, this PhD thesis aims at providing a good understanding of the transmission of the personal network from the predecessor to the daughter-successor in addition to finding out the funding resources, the favouring factors as well as the obstacles hampering this transmission. As a response to the central question of this thesis, we opted for a multi-site qualitative research by adopting interpretative paradigm. Besides, we have also chosen to conduct interviews as a qualitative approach of data collection. Therefore, the research was carried out by analysing seven case studies of Tunisian family enterprises transmitted fro predecessors to daughter-successors. Concerning the data collection, it was carried out through semi-direction) conversations, while the analysis of content was done by using the software NVivo010. The investigation has shown that despite the importance of the transmission of the personal network from the predecessors to the daughter-successors as well as the importance of the resources gained thanks to these relationship and the profitable resources provided for the successors and the family company as whole, Sociocultural constraints mi exclude the girls from this network. Nevertheless, the analysed qualitative data do emphasize the reasons behind the choice of the Tunisian daughter successor as the core of the investigation. Besides, the predecessors have pointed out that rarely has the gender of tl successor been at stake during the transmission and this reflects the remarkable social status of Tunisian women. Lastly we have realized that there are other reasons which have allowed the Tunisian women to take part in the family enterprise such as the commitment in the enterprise, the close relationships with the predecessor, the skilfulness and the character

Full textA review of the literature relating to family firms reveals a lack of research addressing successor commitment and what happens “after” succession. In this study, I further investigate this phase of retirement and commitment in the parent/child relation and the role of the predecessor. My research reveals the important role played by the predecessor in the continuity of the family firm and how it impacts the successor’s attitude. I propose four successor attitudes following their integration into the family firm. We have identified four categories of attitude: “gradual independence”, “unfettered independence”, “imposed continuity” and “agreed continuity”. This research also highlights the factors which can block or facilitate the course of successor commitment in French family firms

Full textDuring the last years in Latin American there have been researches that identifythe family business inside their scope of study, contributing some data thatconfirm their important presence and role in the economy of several countries(Poza E. (1995); (Khulman, 1996) (Kajihara, 1998); (Davis J. A., 2006).Dominican Republic is not the exception, as explained by Van der Linde & Bello(2001); in the country exists a solid family business network in its first andsecond generations, with some big companies on their third, statement thatproduces evidence to develop an interest and need to prevent the mortality ofsuch companies.The practice that is modeled in the family business to achieve their intergenerationalsurvival is succession, understood as a process that culminates withthe decision making of a new successor leader who will have the company underhis/her command (Chua, Chrisman, & Sharma, 1999); (Chrisman, Chua, &Sharma, 2003).What we usually call “decision making” is a process that is applied to everydaysituations in the management of organizations, which turns complex andintricate in the context of family business. Thereon Basly S., (2005) made acomparison between family and non-family businesses proposing a logic ofdecision making different in each one, and highlighting the dominant dimension,process, speed and assumptions in which the decision is sustained. This studysuggests that family businesses are not governed by the normative model of decision making, assertion that gave us a clue to step into the subject ofrationality and decision making in the family business.Citing Simon (1955) the purpose of all constructions of an approximaterationality is to give materials for the development of a theory of the behavior ofdecision making individuals in the context of an organization. Nonetheless andopposite, we have the paradox that if we assume the type of overall rationality ofthe classical theory, the problems of the inner structure of the company, orwhatever organization it is, disappear almost completely
