In the first chapter, we talk about the reasons why this text came out. In the second one; we talk about the conditions of the agreement to apply the article. In the third chapet, we talk about the taxation proceedings. And in the last one, we talk about the future of this low which penalises the enterprises's transfers when it's the economic crisis

Full textLa succession en entreprise familiale non cotée semble être une étape cruciale à la fois pour l'entreprise et pour la famille : elle peut remettre en cause la pérennité de l'entreprise et le déchoir de l'héritage familial. Réussir sa transmission c'est donc assurer la continuité de la lignée familiale, la survie et le développement de l'entreprise, la protection des emplois et la garantie de la valorisation du patrimoine. Depuis les travaux pionniers de Christensen (1953), le thème de la succession en entreprise familiale a été l'objet d'une littérature scientifique abondante. Cependant, le présent travail qualifié d'exploratoire, abordera ce sujet d'un nouvel angle, puisqu'il se propose d'étudier le cas particulier de la fille successeur dans un cadre géographique et culturel spécifique : le Liban. En effet, la nomination de cette dernière en tant que repreneur du flambeau est susceptible d'amener des modifications quant à la planification de la succession, aux critères de choix du successeur et à sa socialisation. Ces changements risquent même d'affecter la période critique d'après succession, le style de management avec lequel les affaires sont menées ainsi que les mécanismes de gouvernance mis en place

Full textBy focusing on one specific way of the transmission of the personal network within the family enterprise, which managed to transfer the enterprise to at least one member of the next generation, that means to reflect on an emerge phenomenon which researchers on. SME and Entrepreneurship have shown, till this time, little interest. Therefore, o objective is to focus on a potential transmission of the Tunisian family enterprise to its daughter-successor. Within the regard, this PhD thesis aims at providing a good understanding of the transmission of the personal network from the predecessor to the daughter-successor in addition to finding out the funding resources, the favouring factors as well as the obstacles hampering this transmission. As a response to the central question of this thesis, we opted for a multi-site qualitative research by adopting interpretative paradigm. Besides, we have also chosen to conduct interviews as a qualitative approach of data collection. Therefore, the research was carried out by analysing seven case studies of Tunisian family enterprises transmitted fro predecessors to daughter-successors. Concerning the data collection, it was carried out through semi-direction) conversations, while the analysis of content was done by using the software NVivo010. The investigation has shown that despite the importance of the transmission of the personal network from the predecessors to the daughter-successors as well as the importance of the resources gained thanks to these relationship and the profitable resources provided for the successors and the family company as whole, Sociocultural constraints mi exclude the girls from this network. Nevertheless, the analysed qualitative data do emphasize the reasons behind the choice of the Tunisian daughter successor as the core of the investigation. Besides, the predecessors have pointed out that rarely has the gender of tl successor been at stake during the transmission and this reflects the remarkable social status of Tunisian women. Lastly we have realized that there are other reasons which have allowed the Tunisian women to take part in the family enterprise such as the commitment in the enterprise, the close relationships with the predecessor, the skilfulness and the character

Full textA review of the literature relating to family firms reveals a lack of research addressing successor commitment and what happens “after” succession. In this study, I further investigate this phase of retirement and commitment in the parent/child relation and the role of the predecessor. My research reveals the important role played by the predecessor in the continuity of the family firm and how it impacts the successor’s attitude. I propose four successor attitudes following their integration into the family firm. We have identified four categories of attitude: “gradual independence”, “unfettered independence”, “imposed continuity” and “agreed continuity”. This research also highlights the factors which can block or facilitate the course of successor commitment in French family firms

Full textDuring the last years in Latin American there have been researches that identifythe family business inside their scope of study, contributing some data thatconfirm their important presence and role in the economy of several countries(Poza E. (1995); (Khulman, 1996) (Kajihara, 1998); (Davis J. A., 2006).Dominican Republic is not the exception, as explained by Van der Linde & Bello(2001); in the country exists a solid family business network in its first andsecond generations, with some big companies on their third, statement thatproduces evidence to develop an interest and need to prevent the mortality ofsuch companies.The practice that is modeled in the family business to achieve their intergenerationalsurvival is succession, understood as a process that culminates withthe decision making of a new successor leader who will have the company underhis/her command (Chua, Chrisman, & Sharma, 1999); (Chrisman, Chua, &Sharma, 2003).What we usually call “decision making” is a process that is applied to everydaysituations in the management of organizations, which turns complex andintricate in the context of family business. Thereon Basly S., (2005) made acomparison between family and non-family businesses proposing a logic ofdecision making different in each one, and highlighting the dominant dimension,process, speed and assumptions in which the decision is sustained. This studysuggests that family businesses are not governed by the normative model of decision making, assertion that gave us a clue to step into the subject ofrationality and decision making in the family business.Citing Simon (1955) the purpose of all constructions of an approximaterationality is to give materials for the development of a theory of the behavior ofdecision making individuals in the context of an organization. Nonetheless andopposite, we have the paradox that if we assume the type of overall rationality ofthe classical theory, the problems of the inner structure of the company, orwhatever organization it is, disappear almost completely

Full textThe job of CEO is rich and complex and the "number one" change, poorly understood, may have an impact on the socio-economic performance, strategy, policy and the organization of the company. Facilitate the arrival of new manager is an important issue for the survival and development of the organization, as well as its organizational socialization remains little studied.The first part explains the conceptual and methodological research, and presents lots of experiments of our assumptions and our tools. We use interviews with executives to define the business leadership and highlight the specifics CEO’s roles and skills. The specific relationship between the leader and its Governance is also studied. Its specific needs of organizational socialization are then demonstrated, particularly in relation to a buyer company and a "classic" employee.In the second part, the concept of organizational socialization is suitable for demanding and unique leader, through the concept of CEO’s Organizational Socialization. This model meets the needs of leader’s socialization, especially during integration, organizational socialization’s milestone. It consists of three types of recoveries: politico-strategic, organizational and managerial. The quality of these recoveries led to the quality of leader’s integration, reclassified strategic integration because of its strategic challenges. An analytical framework is proposed to allow both the new leader to better understand the organization that will lead, but also its own needs through organizational socialization variables and factors that compose it

Full textIn Mexico, the survival and the development of family small and medium-size firms are indispensable for the economy of the country. However, the mortality rate of these companies is extremely high after the succession of the founder. The change of management from the founder to his successor inevitably affects management practices and may destabilize the working dynamics between the director and the managers. This drives me to formulate the following question: to what degree can the change between from the founders' management style to the successors´ management style affect the development of a family small and medium-size firm in Mexico? To answer this question, I took interest in the hierarchical relationship between the manager and his direct subordinates. To measure this relationship, I used the notion of management distance which can be divided in two dimensions: the direction by the sense and the delegation. This research, of exploratory nature, uses quantitative and qualitative methods. It compares the management distance that exists in first generation family small and medium-size firms with the one which prevails in second generation family small and medium-size firms. This thesis makes two contributions. On one hand our results validate the strong difference between the management style of the founder and that of the successor. I propose a justification of this difference and an instrument to measure its impact on the hierarchical relationship between the director and the managers in the family small and medium-size firms considered in this study. On the other hand, I adapted, and validated statistically a conceptual framework and various methods to be able to measure and to analyze the quality of the relationships among management in the Mexican family small and medium-size firms

Full textThe story of the Corsican military of the Renaissance period at the end of the old regime, the Corsican island was the last acquisition, giving an insight into the long path leading to this conclusion. The Corsican society of warrior vocation finds its exalting cry in modern times. The military emigration became a privileged choice in the Italy of princes and popes. Thanks to wars, these mercenaries entered the service of the Valois, establishing an ephemeral domination on the island. Born of this failure, the Ornano regiment continued the French Corsican service from 1569 to 1626. However the war needs alone under Louis XIV justified the recruitement of Corsican regiment. In the XVIIIth. century, the combination of the island revolution with French ambitions led Louis XV to create a regiment which would be maintained after 1769. This opportunity offered the Corsican upper class a noble title and at the same times a refuge against Genoan persecutions. The Island governor elected by Gênes would be find solid support. This allegiance, broke the Italian umbilical cord, and offered Corsica a foothold in the threefold state order, to become progressively obsolete

ENGLISH ABSTRACT: This report is a literature study that focuses on the characteristics of successful project teams in the research and development environment. Successful project teams are becoming an increasingly important factor in business. However, traditional quantitative project management tools no longer give project teams a competitive edge - additional qualitative tools are required, following a systems approach. A number of characteristics of project teams, with the focus on the qualitative issues, particularly the people issues, are investigated. A project team operates in the context of its environment, mostly an organisation with a structure and an organisational culture. Methods and concepts in selecting and managing a dynamic project team within a turbulent and fast changing environment are discussed. The topics covered are: environmental fit, visions and goals, leadership and team roles, systems and procedures, values, organisational culture, rewards and recognition methods,and training and development. This literature study aims to encourage a paradigm shift away form the traditional triangle of budget, brief and time towards a stronger focus on people issues as people are the most important assets of a project team. As people do not behave in a linear way, as required for quantitative tools, new methods and tools are required. The hypothesis that was subsequently formulated from this study states that research and development teams can be more successful if they are regarded as a non-linear system consisting of various inputs, processes and outputs.
AFRIKAANSE OPSOMMING: Hierdie verslag is 'n literatuurstudie wat fokus op die eienskappe van suksesvolle projekspanne in 'n navorsings en ontwikkelings omgewing. Suksesvolle projekspanne raak al hoe belangriker in besigheid. Tradisionele kwantitatiewe metodes is nie meer voldoende vir projekspanne om 'n kompeterende voordeel te bekom nie en moet hierdie metodes aangevul word met kwalitatiewe metodes gebaseer op 'n stelselbenadering. Verskeie karakteristieke van projekspanne, met die fokus op kwalitatiewe eienskappe, in besonder die menslike aspekte word ondersoek. 'n Projekspan funksioneer in die konteks van sy omgewing, meestal 'n organisasie met 'n struktuur en organisatoriese kultuur. Metodes en konsepte in die seleksie en bestuur van 'n dinamiese projekspan in 'n tubulente en vinnig veranderende omgewing word bespreek. Die temas wat gedek word is: omgewingsaanpassing,visie en doelwitte, leierskap en spanrolle, stelsels en prosedures, waardes, organisatoriese kultuur, vergoedings en erkennings metodes, en opleiding en ontwikkeling. Hierdie literatuurstudie mik om 'n paradigma skuif aan te moedig, weg van die tradisionele driehoek van begroting, doelwit en tyd, na 'n sterker fokus op menslikesake aangesien mense die belangrikste bates van 'n projekspan is. Aangesien mense nie op 'n liniere manier reageer soos wat nodig is vir kwantitatiewe metodes nie, word nuwe metodes en gereedskap benodig. Die hipotese wat geformuleer is uit hierdie navorsing, se dat navorsings en ontwikkelingspanne meer suksesvol kan wees indien hulle gesien word as 'n nie-liniere stelsel wat bestaan uit verskeie insette, prosesse en uitsette.

Full textIn France, getting old as an immigrant became a condition shared by a growing number of people. In 2015, about 1.5million of immigrants are 60years old or more. In France, the constant increase in the number of elderly immigrants represents a social and political issue, a fact confirmed by the recent works of the national assembly as well as by the development of scientific research. Nonetheless, the diversity of studies dealing with different territories inhabited by elderly immigrants remains limited. Consequently, this thesis (structured around several scientific articles) aims at proposing a representation of the “migrating elderly”, articulating a territorial and gerontological approach. Two different territories were taken into consideration: Angers andCholet (Maine-et-Loire), and Montreuil (Seine-Saint-Denis).This selection provided the opportunity to analyse the aging conditions of migrating population which evolve according to different spatial contexts. In this study, we considered territorial data, medico-social accounts, as well as the work of associations and political interventions to elderly immigrants.In addition, biographical facts and stories from as ample of elderly migrants in Maine-et-Loire were analysed to highlight the political and social issues that structure the aging conditions of immigrants.The result of this work proves that it is still essentia lto take into account the heterogeneity of these populations. It also underlines the importance of understanding their needs in terms of their own life journeys (and the end of it) which is inextricable of the territory they occupy

Denna rapport ger en grundlig utredning av nuvarandetillgänglig teknik som kan användas för digital produktidentifiering, en jämförelsestudie av strategiersom tillämpas av andra företag inom andra affärsområden med liknande mål och relateradeförhållanden. Även en granskning av nyckeltal som kan kopplas till produktidentifieringsprocessen föratt ansluta datainformation som ökar det potentiella värdet för både kunder och företaget.Dessutom utforskar projektet utmaningarna med genomförandet av sådana tillvägagångssätt.Baserat på teoretisk forskning har jämförelsestudien, praktiska lärdomar från ett försöksprov samtpraktisk förståelse och kompetens hos kollegor och leverantörer, har följande fyra tillvägagångssättidentifierats att ha de bästa möjligheterna för faktisk implementation, presenterat i prioritetsordningfrån högsta till lägsta möjliga implementationsmöjligheter med tanke på alla faktorer:1) Infogade taggar i borrkronor2) Avtagbara taggar3) Utskrivna data matris etiketter4) Yt-inskriptionEn undersökning genomfördes med frågeformulär gentemot företagsledare för att identifierakundernas nuvarande situation och framtida behov. Svaren gav intresse och motivation för dettaprojekt.Ett fälttest avslöjade att Xerafy Dot-iN XS-taggar placerade i ett övre läge i produkterna hade denbästa överlevnaden och chansen för vidareutveckling av insatta taggar i borrkronor.För framtida arbete bör målet vara att hitta den metod som bäst kan genomföras för helasortimentet. Det bästa alternativet för en produkttyp kanske inte är tillämpligt för andraprodukttyper. Därför kan en kombination av de presenterade metoderna vara betydande för attpassa alla produkter.

ENGLISH ABSTRACT: This report looks at what is important for Matrix Management to be successful in an organisation. After evaluating sixteen articles it was found that eleven elements are critical when implementing Matrix Management. These elements are: • Communication • Strong Leader • Culture • Rewards • Skills in Teams • Clear and Defined Goals • Senior Management Support • Defined Responsibility • Accountability • Procedures and Standards The model that was developed aims to indicate that there are certain fundamentals that an organisation needs to have in place before starting to work in a cross functional manner. These fundamentals are: to understand the goals of the organisation and the team, to develop procedures and standards (these should be communicated on a continuous basis), to define the responsibilities within the organisation and team, and to develop communication channels for internal and external communication. Next the model examines culture, where it differentiates between organisational culture and team culture. Organisation Culture includes innovation, respect for each other, rewarding and accountability. Team culture looks at commitment, cooperation and accountabilities. Then the model examines the three role players namely the senior management and their support, strong team leadership and the team members that are empowered and correctly skilled. All of these are interlinked through communication. It appears that little has changed over the past twenty years with regards to the fundamentals necessary to be successful. It is only the people and the organisations themselves that have changed.
AFRIKAANSE OPSOMMING: Hierdie verslag kyk na wat nodig is vir Matriks Bestuur om suksesvol te wees in 'n organisasie. Na die ontleding van sestien artikels is gevind dat elf elemente baie belangrik is tydens die implementering van Matriks Bestuur. Hierdie elemente is: • Kommunikasie • Sterk Leier • Kultuur • Vergoeding • Vaardighede in Spanne • Duidelike Doelwitte • Bemagtigde Lede • Senior Bestuur Ondersteuning • Gedefinieerde Verantwoordelikheid • Toerekenbaarheid • Prosedures en Standaardes Die model wat ontwikkel is probeer om uit te wys dat daar sekere fundamentele elemente is wat 'n organisasie in plek moet he voordat daar kruis-funksioneel begin werk word. Die fundamentele elemente is: verstaan die doelwitte van die organisasie en span, om prosedures en standaarde te ontwikkel (moet op 'n gereelde basis gekommunikeer word), om die verantwoordelikhede binne die organisasie en span te definieer, en om kommunikasie kanale vir interne en eksterne kommunikasie te ontwikkel. Volgende kyk die model na kultuur waar dit onderskei tussen organisasiekuituur en span-kultuur. Innovasie, respek vir mekaar, vergoeding en toerekenbaarheid val onder Organisasie kultuur en verbondenheid, samewerking en toerekenbaarheid val onder Span kultuur. Volgende kyk die model na die drie rolspelers naamlik senior bestuur en hulondersteuning, sterk spanleierskap en spanlede wat vaardig en volmagtig is. AI hierdie word deur kommunikasie verbind. Dit blyk dat nie veel verander het gedurende die laaste twintig jaar ten opsigte van die fundamentele elemente wat nodig is omsuksesvol te wees nie. Dit is slegs die mense en organisasies wat verander het.

The following research builds on the existing project management success and critical success factor research by focusing on the social mechanisms used by project managers and project teams to achieve success. Through analysis of previous literature five criteria for success are determined and the critical success factor themes of personnel and communication emerge. Study One uses semi-structured interviews with ten current or former construction project managers to develop a conceptual model of six antecedents to the previously identified critical success factor themes. The unit of measure is the project and not the project manager which allowed for ten interviews to provide insights into twenty projects, the ten most successful and the ten least successful of the interviewees careers. Those interviews provided six constructs or antecedents that lead to effective communication and project personnel. The personnel constructs are; planning, choosing, and retaining. The communication constructs are frequency, understanding, and inclusivity. Study Two uses semi-structured interviews with twenty current or former construction project managers to determine the causal social mechanisms that lead from the antecedents to the critical success factor themes. Through recording, transcribing, coding, and analyzing the interviewee’s responses project managers and project teams use similar mechanisms to achieve the critical success factor themes. Knowing those mechanisms will benefit practicing project managers.
