Abstract:
Zánik bipolárního světa a zhroucení komunistických režimů vyvolalo nebývalou mobilitu lidí a předznamenalo novou fázi evropských migrací. Východoevropanům se již nenabízela pouze „svoboda odejít“ na Západ, nyní mohli „svobodně odejít a vrátit se“. V tomto textu se zaměřím na genderované transnacionální, přeshraniční praktiky a schopnosti Středoevropanů a Východoevropanů, kteří jsou takzvaně v pohybu a kteří využívají svou prostorovou mobilitu k přizpůsobení se novému kontextu postkomunistické transformace. Svoboda pohybu zboží a postupující harmonizace vnitrostátního hmotného práva právem Evropské unie usnadňuje přeshraniční transakce. Rozvoji obchodu dále napomáhá elektronizace služeb a intenzivnější využívání internetu. Problémy, které v minulosti bylo možno řešit takřka výlučně nebo alespoň většinově na národní úrovni, nyní získávají mezinárodní charakter. V práci se zabývám úpravou volného pohybu společností v komunitárním právu. Přibližuji ustanovení primárního práva o svobodě usazování a jejich výklad Evropským soudním dvorem. V práci dále zkoumám možnosti přesunutí registrovaného a skutečného sídla obchodních společností uvnitř jednotného trhu. Práce analyzuje proces přesunutí sídla jak u nadnárodních forem společností, tak nepřímé přesunutí sídla u národních forem společností.
