Capturing the direction of changes in the scope of the rebus sic stantibus clause under Polish lawThe aim of this article is to present the issue of the influence of the substantial change of circumstances on the parties’ obligation to the contractual agreements. In Poland, this so-called “rebus sic stantibus clause” governed by the article 3571 of the Polish Civil Code which is believed to be not flexible enough to follow the needs of the dynamics of the global economic turnover and also importantly, the certainty of trade. Therefore it has become a source of many controversies and issues in interpretation, which has led to various de lege ferenda postulates. The article’s aim is to thoroughly analyze the essence of the particular amendments, including those based on the Principles of European Contract Law art. 6:111 as well as proposals articulated by the doctrine. In summary, the article makes an attempt to capture the direction of changes in the design of the Polish institution of rebus sic stantibus clause.

Niniejsze opracowanie dotyczy odpowiedzialności dłużnika za opóźnienie w płatności w transakcjach handlowych, które powstało w wyniku pandemii wirusa SARS-CoV-2. Brak terminowej zapłaty za dostarczony towar lub usługę stanowi powszechne zjawisko, występujące z reguły z wyłącznej winy dłużnika. Ograniczenia funkcjonowania działalności gospodarczych, które wystąpiły na skutek epidemii nie pozostały obojętne także dla tych podmiotów, którzy dotychczas rzetelnie wykonywali swoje zobowiązania. Podmioty te poszukują rozwiązań, które pozwolą im uniknąć negatywnych konsekwencji finansowych związanych ze stanem zagrożenia. Przykładem takiego rozwiązania jest instytucja rebus sic stantibus. Celem artykułu jest dokonanie oceny czy możliwe jest zastosowanie klauzuli rebus sic stantibus do zmniejszenia finansowych dolegliwości dłużnika za powstałe i nieprzewidziane opóźnienia w płatnościach. This study deals with the debtor’s liability for late payment in commercial transactions that arose as a result of the SARS-CoV-2 pandemic. Lack of timely payment for the goods or services delivered is a common phenomenon, usually due to the sole fault of the debtor. Restrictions on the functioning of economic activities that occurred as a result of the epidemic did not remain indifferent to those entities that have so far diligently fulfilled their obligations. These entities are looking for solutions that will allow tchem to avoid the negative financial consequences associated with the emergency. An example of such a solution is the institution rebus sic stantibus. The purpose of the article is to assess whether it is possible to use the rebus sic stantibus clause to reduce the debtor’s financial problems for arising and unforeseen delays in payments.

Abstract:
The study examines possible defences that States could invoke in order to justify or excuse measures designed to respond to the COVID-19 crisis, which prima facie might not be in conformity with certain international obligations. The study examines only defences available in general international law – beside certain exceptions that might be provided by the clauses of the respective treaties. Two grounds for suspending international obligations, stemming from the law of treaties – impossibility of performance and rebus sic stantibus – and three circumstances precluding wrongfulness, stemming from the law of international responsibility – force majeure, distress and state of necessity – are subject to examination. The study argues that, even if “common sense” might draw the public opinion towards the plausibility of invoking force majeure, impossibility of performance or fundamental change of circumstances, such a conclusion does not reflect general international law. In reality, the “best candidate” as a justification or excuse is distress, while the “second best candidate” might be represented by the state of necessity.

Force majeure can cause a significant change in circumstances, which is the basis for termination or change of the contract, and,ultimately, leads to the termination of the obligation (its termination) or the preservation of the obligation in a modified form. Legalregulation of the legal consequences of a significant change in the circumstances that exist at the conclusion of the contract is usuallybased on one of two key principles of contract law: the principle, according to which contracts must be performed (pacta sunt servanda), or clause (clausula rebus sic stantibus). The legislation of foreign countries contains rules, according to which “a change of circumstancesmay justify a change in the contract, when the preservation of the contract in its original form leads to extraordinary results,incompatible with justice”. The main consequences of a significant change in the circumstances that guided the parties in concludingthe contract are:– actually change the contract, ie change the terms of the contract (and as a consequence – the obligations between the parties)while maintaining the contract in force;– and termination of the contract by agreement of the parties.If the parties do not agree to bring the contract in line with the circumstances that have changed significantly, or to terminate it,the contract may be terminated on the grounds, established by the Central Committee of Ukraine, amended by a court decision at therequest of the interested party: at the conclusion of the contract the parties proceeded from the fact that such a change of circumstanceswill not occur; the change of circumstances is due to reasons, which the interested party could not eliminate after their occurrence withall the care and diligence, required of it.Today, in our country, as in many countries around the world, there is a situation that makes it impossible to fulfill the contractualobligations related to the introduction of national quarantine in connection with the pandemic of coronavirus (COVID-19). The governmentof our state has also resorted to resolving the situation with the introduction of quarantine on the territory of Ukraine.

The paper examines the use of rebus sic stantibus, a claim that a fundamental change of circumstances warrants withdrawal or termination of a treaty, by Russia in three key episodes in Russian foreign policy. These episodes have not been examined together by scholars and have not all been analysed from the perspective of rebus sic stantibus. First, it examines the situation in 1870 when Russia used this approach to obtain the London Declaration, which revised unfavourable terms in the 1856 Treaty of Paris following the Crimean War. Second, it examines the Soviet attempt to terminate or renegotiate the Montreux Convention during and in the aftermath of the Second World War through the use of rebus sic stantibus and, third, it examines the Soviet attempt to renegotiate the Svalbard Treaty through the use of this legal approach. Notably, the analysis shows that these attempts took place during shifts in Russia’s relative power. Given the design of the treaties in question, rebus sic stantibus was one of the only ways to achieve these goals. In addition to providing a thorough study of episodes unexamined from an international legal perspective, the paper may therefore shed light on when rebus sic stantibus is useful and why it is relied on less and less by states today.

This article deals with the applicability of the Rebus Sic Stantibus doctrine, which is a lawful exception to the Pacta Sunt Servanda principle. It deals with the question on whether the Rebus Sic Stantibus could be applied on the impossibilities of performance caused by subjective reasons (besides the force majeur events which are traditionally connected with the doctrine). The hypothetical situation which is discussed in the article consists in a business relation between two entrepreneurs, whereas one party exercises a personal performance for the other, and this personal performance becomes to infringe human dignity of the performer. Particularly, the article asks the question on how, if at all, it is possible for a personal performance breaching human dignity to trigger the Rebus Sic Stantibus exception. The article, after discussing the concept of human dignity as well as the Rebus Sic Stantibus doctrine; answers, that the application is possible. The Slovak legal order is chosen as the working field for this article, however, the findings are applicable more broadly, as the article also elaborates on the theoretical bases of the question at stake.

The question of the continuing significance of the Treaty of Waitangi is one to which neither legal practice nor scholarship has offered a definitive answer. The question is often regarded as less legal than political; a question of intercultural justice to be contested in the political realm. From within the law, however, the suggestion that the Treaty ought to be reassessed in light of modern circumstances was revived in 2005 when Jeremy Waldron, then University Professor at Columbia University, offered the international law doctrine of rebus sic stantibus as a possible tool for analysis. This article responds to Professor Waldron's suggestion that the Treaty might be considered overridden by a fundamental change in political circumstances. It first argues that the structuring logic which Professor Waldron advocates is a misreading of the "signpost" which international law offers towards the role of treaties in problems of intercultural justice. The article then presents a comparative assessment of United States practice relating to treaties, before examining tikanga Māori to consider how its core values might offer guidance on the continuing relevance of the Treaty. Finally, the article looks to contributions from political philosophy relating to the political morality of Treaty-based intercultural justice.

Just prior to their departure for England in the spring of 1580, Robert Persons and Edmund Campion received an explanatio from Pope Gregory XIII suspending the sentence of excommunication against Queen Elizabeth in the bull Regnans in Excelsis. The explanatio decreed that English Catholics were not bound to implement the sentence of deposition against Elizabeth rebus sic stantibus, that is, under the present circumstances. The two priests hoped that this faculty would allay the English government's fear that they had come to foment rebellion in England. But the explanatio produced the opposite result. Lord Burghley and the government seized upon the conditional nature of the decree to argue that any future profession of Catholic loyalty must be disregarded out of hand. Rome's strategy, therefore, had backfired. The rebus sic stantibus declaration had given the Persons/Campion mission a fatal taint of treachery and treason.

Artykuł podejmuje problem stosowania klauzuli rebus sic stantibus, wyrażonej w art. 357(1) k.c., w związku z wprowadzeniem przez Ministra Zdrowia na terytorium Rzeczypospolitej Polskiej stanu zagrożenia epidemicznego, a następnie stanu epidemii wirusa SARS-CoV-2. Celem niniejszego artykułu jest ustalenie, czy dopuszczalne jest zastosowanie klauzuli w celu łagodzenia skutków pandemii, które dotykają strony stosunków zobowiązaniowych oraz w stosunku do jakich umów klauzula znajdzie zastosowanie. Autorzy analizują, w jakich okolicznościach możliwe jest zwrócenie się do sądu z żądaniem oznaczenia sposobu wykonania zobowiązania, zmiany wysokości świadczenia czy orzeczenia o rozwiązaniu umowy. Zwrócono także uwagę na konieczność ścisłej wykładni normy z art. 357(1) k.c. W artykule zaprezentowano pogląd, że na efektywność klauzuli rebus sic stantibus może wpłynąć dopuszczenie możliwości formułowania zarzutu na podstawie art. 357(1) k.c.

Abstract In the face of massive, unanticipated and even disjunctive changes, the balance of the respective interests of the state parties to existing treaties may no longer survive the changed—or changing—climate landscape. While, ideally, the co-contracting states to such treaties could mutually agree to terminate or revise their treaty obligations to accommodate such changes and redress the now imbalance of interests in the treaty, some scenarios are bound to be contentious. In such cases, is there any other procedure that can provide for an orderly and fair adjustment of treaties so as to avert a breakdown of the network of treaties and a destabilization of world order? This article proposes that the rebus sic stantibus doctrine may function as a stabilizing doctrine for maintaining and possibly adjusting treaty regimes in an orderly fashion. Unlike the doctrine of necessity or many explicit treaty carve-outs, such as the security exception of the US Model Bilateral Investment Treaty, the doctrine of rebus sic stantibus may allow for both an objective test and also one that must be pleaded before a third-party arbiter. For this reason, rebus operates within controlled limits. Rebus offers an international tribunal the opportunity to set out a fair termination or revision of a climate-impacted treaty. I trace the evolution of rebus as a stabilizing doctrine and illustrate the potentialities of its application to the climate crisis.

A cláusula rebus sic stantibus, positivada no ordenamento jurídico brasileiro, tem estrita relação principiológica com a justiça comutativa, elaborada por Aristóteles (384 a.C.-322 a.C.), especialmente no que tange à teleologia. A teoria da imprevisão objetiva promover justiça nas relações contratuais quando alteram-se as circunstâncias, em vista do equilíbrio de benefícios e perdas das partes. O estudo, de método hipotético-dedutivo, amparado em expositores da doutrina jusfilosófica aristotélica e da história e aplicação da cláusula rebus sic stantibus, tem como escopo analisar os assuntos, em seus pressupostos filosóficos e seu âmbito histórico, em vista de encontrar convergências e influências. Conclui-se pela manifesta relação dos elementos basilares dos institutos, que tem a mesma finalidade, embora não seja possível afirmar-se cabalmente o liame histórico de influência da doutrina aristotélica no surgimento da cláusula.

De una lectura sistemática de los artículos 26 y 62 de la Convención de Viena de 1969 podría inferirse una aparente contradicción para el intérprete. La primera disposición, que establece el principio pacta sunt servanda, y la segunda, que contiene la cláusula rebus sic stantibus, en el contexto del derecho de los tratados, indicarían que ellas operan entre sí como regla y excepción respectivamente. Sin embargo, en el marco de una investigación hermenéutica sobre la realidad del derecho internacional público contemporáneo, que tiene a los Estados como textos vivientes y que busca auscultar qué hay detrás, no solo de las normas escritas, sino también de la conducta de los sujetos de derecho internacional, este artículo propone una hipótesis de trabajo consistente en afirmar que lo que se llama derecho internacional público coincide con la práctica actual de los Estados, y que lejos de lo afirmado por la Declaración de Londres de 1871, antecedente medianamente remoto de la cláusula rebus sic stantibus, los Estados siempre serán jueces de sus propias conductas, no en el sentido de litigio, sino en el sentido de un conjunto de valoraciones continuas bajo una óptica hermenéutica. Para demostrar la hipótesis de trabajo se recurre a una aproximación multidimensional que cubre, entre otras herramientas de análisis, el law and economics y el derecho internacional de la inversión extranjera.

La cláusula rebus sic stantibus es conocida desde hace mucho tiempo en el ámbito del Derecho de Contratos, habiendo despertado enormes recelos en su aplicación, considerándose “peligrosa” por la jurisprudencia del Tribunal Supremo español, hasta el año 2014, donde la jurisprudencia mutó hacía una interpretación menos restrictiva de la figura. La falta de regulación de la citada cláusula en el Código civil de España, ha provocado siempre una dificultad para entender y ejecutar la misma, situación que ha empeorado como consecuencia de la crisis económica derivada de la pandemia mundial conocida como COVID-19. Se analizará la posible aplicación de la figura, tomando como referencia un contrato que se ha visto objeto de numerosos incumplimientos como consecuencia de la pandemia, es decir, el contrato de arrendamiento.

En este artículo se realiza un estudio monográfico de la teoría de la imprevisión en los contratos, tomando en cuenta los principios fundamentales del derecho civil y el acuerdo de voluntades como simiente del derecho privado. El punto de partida del autor es la excepción al principio pacta sunt servanda, es decir, la cláusula rebus sic stantibus, haciendo un repaso histórico de su evolución a lo largo de las épocas del pensamiento occidental. Del mismo modo, realiza un ejercicio de derecho comparado, tanto en las legislaciones de diversos países como en los tratados internacionales. También, dentro del ámbito del derecho interno, enuncia los códigos locales que contienen esta figura, así como las jurisprudencias aplicables. La autora detalla sobre los requisitos formales, los efectos jurídicos y la aplicación de la imprevisión en el derecho mexicano. Finalmente, se hace una invitación al estudio de este tema para modernizar la materia contractual y atraer otras disciplinas al derecho civil.

A pretensão espúria de quantificar resultados e imprimir à ciência jurídica uma tecnicidade cega sepulta o caráter personalíssimo que o direito, historicamente, deve carregar consigo. A coisa julgada traduz um instituto que guarda consigo o caráter de finitude do processo, vetor da segurança jurídica. Nas ações coletivas, especialmente as de tutela ambiental, que cuidam de um direito intergeracional, a coisa julgada reclama um tratamento publicista, que rompa com a tradição individualista-patrimonial. A coisa julgada <em> in utilibus, </em>a consideração do <em>rebus sic stantibus</em> e a necessidade de estabelecer critérios diversos para a competência territorial nas ações coletivas de tutela ambiental ganham destaque nesse raciocínio.

Nesses casos, a excepcionalidade do contexto deve ser acompanhada pela excepcionalidade das medidas que, com extrema urgência, devem ser adotadas, para amortizar o tanto quanto possível os efeitos negativos dela oriundos. Ante este cenário, este artigo tem como objetivo analisar a teoria da imprevisão no âmbito da gestão pública no Brasil. Inicialmente aborda a imprevisão, com base no caso fortuito e na força maior, seguida pelo exame da imprevisão em relação à proporcionalidade. Na sequência, aborda a teoria da imprevisão e a cláusula rebus sic stantibus, e a imprevisão em tempos de pandemia, para, então aborda as providencias providências políticas, econômicas e jurídicas adotadas no Brasil.

La Nota publicada el pasado 15 de julio 2020 por el Secretariado de Unidroit, relativa a los Principios Unidroit sobre Contratos Comerciales Internacionales en la crisis sanitaria de la Covid-19, pretende ofrecer una guía sobre el modo en que los Principios pueden servir como un útil instrumento para afrontar, en términos jurídicamente adecuados, algunos de los problemas típicos que se están suscitando como consecuencia de la pandemia y de las medidas adoptadas para paliar sus efectos, así como la crisis económica derivada. La magnitud de la crisis impone sin duda la necesidad de articular medidas legales específicas, inspiradas por criterios de justicia distributiva (y no solo conmutativa). Se trata, además, de evitar que el recurso a los instrumentos generales provoque el colapso de los tribunales, a lo que se une el inconveniente de la disparidad de criterios y la inevitable lentitud en la construcción de guías jurisprudenciales. La legislación de emergencia no podrá, sin embargo, ofrecer una solución satisfactoria a todos los conflictos que se vienen planteado y seguirán surgiendo en el futuro próximo, y es en este terreno donde tendrá que acudirse a los conceptos generales. La Nota aporta interesantes perspectivas a la hora de interpretar y aplicar las normas nacionales que regulan las instituciones básicas de obligaciones y contratos, en especial las relacionadas con las nociones de fuerza mayor/caso fortuito, y excesiva onerosidad sobrevenida/rebus sic stantibus. En este artículo, siguiendo una sistemática expositiva paralela a la de la propia Nota, se centra el foco, no tanto en la legislación de emergencia, sino más bien en el modo en que tanto los Principios como las sugerencias de la Nota pueden ser aprovechados para plantear posibles soluciones en el contexto del ordenamiento jurídico español, con una atenta consideración a los planteamientos de la jurisprudencia, sobre todo de los últimos años, y al entendimiento de las nociones de fuerza mayor y caso fortuito, imposibilidad, excesiva onerosidad sobrevenida, así como el ámbito de aplicación, los presupuestos y los efectos de la regla rebus.
