The UNCITRAL mediation framework consists of the United Nations Convention on International Settlement Agreements Resulting from Mediation, also known as the Singapore Convention on Mediation, the UNCITRAL Model Law on International Commercial Mediation and International Settlement Agreements Resulting from Mediation, 2018 (amending the Model Law on International Commercial Conciliation, 2002) and the Conciliation Rules.The UNCITRAL mediation framework will be supplemented by updated mediation rules as well as notes on mediation, which are currently on UNCITRAL’s agenda. This framework is the result of the typical inclusive and transparent UNCITRAL drafting process and will hopefully contribute to the strengthening of mediation worldwide and make it an attractive and flexible dispute resolution tool.

Abstract:
As China consolidates its position as one of the most important trade players in the international market, arbitration has become an attractive alternative to litigation in commercial disputes between Chinese companies and their foreign trade partners. The UNCITRAL Model Law on International Commercial Arbitration 1985, with amendments as adopted in 2006, represents the accepted international legislative standard for a modern arbitration law. In order to make China an attractive seat for international commercial arbitration and enhance the efficiency of the arbitration system for the benefit of commercial parties, whether Chinese or foreign, it is important for China to consider adopting the UNCITRAL Model Law. This article provides an overview of the UNCITRAL Model Law and its positive impact on the development of arbitration in several jurisdictions worldwide. Next, the benefits of legal reform are highlighted through a contrast between China’s current Arbitration Law and the UNCITRAL Model Law. Finally, this article lays out a procedural roadmap through which China’s legal framework may be amended to incorporate the UNCITRAL Model Law.

Abstract:
Arbitration is an alternative mechanism which can be adopted by the parties involved in any legal issues other than the court. Arbitral tribunal plays essential role and has roles and functions similar to the court judges. Only qualified person is eligible to be appointed as arbitrator. From Islamic perspective, the Muslim jurists have laid down several requirements to be fulfilled by such person before the appointment has been made. The UNCITRAL Model Law which is internationally adopted by most of the countries in the world in setting up their arbitration institution also has a provision pertaining to the qualifications of arbitral tribunal. The question arises, what are the qualifications required under Shariah law and prescribed by UNCITRAL Model Law? Is there any similarities? Based on such research questions, this article seeks to analyse the qualifications of the arbitral tribunal from the perspectives of Shariah law and UNCITRAL Model Law. Based on the library data, content analysis method is adopted to compare the qualifications of arbitral tribunal from both perspective. This study found that, the Shariah law and UNCITRAL Model Law have its own requirements for the person to be appointed as arbitrator. The study also found that, Shariah law provides more details in this regard compared to UNCITRAL Model Law which provides only the general principles.

There is an abundance of scholarly writing on the UNCITRAL Model Law and arbitral tribunals rendering decisions on issues beyond the parties' submissions (ultra petita).The same cannot be said where the arbitral tribunal fails to decide on the issues submitted by the parties (infra petita). In BLB and another v. BLC and others [2013] S.G.H.C. 196, a Singapore High Court decision, the court set aside an award infra petita under Article 34(2)(a)(iii) of the UNCITRAL Model Law and Section 24(b) of the Singapore International Arbitration Act (Cap. 143A). The ruling raises interesting issues that warrant a closer inspection of the UNCITRAL Model Law and awards infra petita. This article addresses two questions. First, which of the Article 34(2) grounds under the UNCITRAL Model Law do awards infra petita fall under? Second, is making a request for an additional award under Article 33(3) a prerequisite to apply to set aside an award under Article 34(2)? These questions are addressed and analyzed pursuant to the Singapore High Court ruling in BLB and another v. BLC and others [2013] S.G.H.C. 196 and to the drafting history of the UNCITRAL Model Law.

AbstractThis article presents an empirical analysis of the impact of the enforcement of substantive UNCITRAL Model Law principles in the Middle East region. Despite the main differences in the schools of thought and jurisdictions in the Middle East, the major conclusion is that UNCITRAL principles are applicable. As compared with data taken from legislations and case law after adopting the UNCITRAL Model Law, in an extension of the analysis, findings show a marginally significant change and deviations from the basic principles of the Model Law in these countries. Analysis of the implications of these changes from the perspective of the role played by the Model Law, shows that there was significant theoretical and practical negative impact upon the overall objectives of the law enforcement effort.

ABSTRACT: The United Nations Commission for International Trade Law (UNCITRAL) has adopted and is promoting a number of texts for the harmonization of international trade law such as the 1980 Vienna Convention for the International Sale of Goods (CISG), the 1958 New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards and the 1974 New York Convention on the Limitation Period in the International Sale of Goods. There are also newer instruments which have not yet gained such wide acceptance that may be considered for adoption such as the 2005 UN Convention on the Use of Electronic Communications in International Contracts, the 1996 UNCITRAL Model Law on Electronic Commerce and the 1997 UNCITRAL Model Law on Cross-Border Insolvency. This paper will identify and discuss the UNCITRAL texts that may be most useful to fast track the regional harmonization and integration of commercial law. The paper will discuss the experience with these instruments internationally, more specifically the experience with the CISG and the Model Law on Electronic Commerce. The paper will critically examine the value of such harmonizing instruments. The paper will also outline critical success factors for regional legal harmonization and integration based on the experience with the UNCITRAL documents. Finally it will be argued that a number of these instruments are suitable for adoption in countries in order to facilitate regional integration.

Kontrak bisnis internasional merupakan pedoman bersama para pihak yang mengikatkan diri atas hak dan kewajiban tertentu serta melintasi bats negara. Pedoman tersebut biasanya berhubungan erat dengan transaksi perdagangan, yang pada saat ini bisa dilakukan secara jarak jauh atau elektronik. Proses perdagangan secara elektronik sebagai sarana transaksi tanpa tatap muka antara pembeli dan penjual hingga munculnya tanda tangan elektronik. Lembaga yang sampai saat ini berperan dalam mengharmonisasi hukum transaksi perdagangan elektronik ialah United Nations Commission on International Trade Law (UNCITRAL) yang merupakan subsidiary organs Perserikatan Bangsa-Bangsa (PBB). Pengaturan khusus terhadap tanda tangan elektronik secara internasional terdapat pada UNCITRAL Model Law on Electronic Commerce 1996 dan UNCITRAL Model Law on Electronic Signature 2001. Dilihat dari terbentuknya peraturan-peraturan secara internasional ini menandakan bahwa masyarakat internasional sangat membutuhkan peraturan yang sesuai dengan perkembangan teknologi terutama dibidang transaksi-transaksi perdagangan internasional. Penelitian ini menggunakan data sekunder yang dikumpulkan melalui metode studi pustaka. Masalah yang diangkat adalah bagimana hukum kontrak internasional mengatur tanda tangan elektronik dan bagaimana perlindungan hukum bagi pengguna tanda tangan elektronik. Dari dua pertanyaan tersebut didapati kedua Model Law dari UNCITRAL tidak mengikat negara. Negara bebas untuk mengikuti seluruh isi aturan, sebagian, atau bahkan menolak keseluruhan. Model Law menjadi pedoman untuk membantu negara-negara di dalam membuat perundangan nasionalnya. Selanjutnya aturan yang dibuat oleh ICC, ICSID dan UNCITRAL diyakini dapat menjadi pemecah masalah terkait dengan kontrak bisnis internasional termasuk dengan topik tanda tangan elektronik. Meski dalam Model Law juga telah di bahas bagaimana tanda tangan elektronik dapat berlaku untuk mendukung perdagangan elektronik.

The economic integration program between the members of Association of South East Asian Nations (ASEAN) and surrounding areas that trancends national borders and citizenship potentially creates the cross borders bankrupcy problems. The problem was born when the debtor undergoing bankruptcy process has assets abroad,where the bankruptcy proceedings are hampered by the laws of the country concerned. In adition, Indonesia and ASEAN do not yet a bankruptcy regulation that binds its member states in the settlement of this problems. UNCITRAL Model Law on Cross Border Insolvency with Guide to Enactment is a model of cross-border insolvency law made by The United Nations which aims to be a reference of the world countries in the business of modernization and harmonization of national bankruptcy law respectively. This article shows that UNCITRAL Model Law on Cross Border Insolvency with Guide to Enactment which adheres to this flexibility principle can be used as a solution to modernize and harmonize bankruptcy law of ASEAN countries, especially Indonesia. Abstrak Program integrasi ekonomi antar negara anggota Association of South East Asian Nations (ASEAN) dan sekitarnya yang melampaui batas-batas negara dan kewarganegaraan saat ini berpotensi melahirkan permasalahan kepailitan lintas batas. Permasalahan itu lahir pada saat debitor yang menjalani proses kepailitan di suatu negara memiliki aset di luar negeri, di mana proses kepailitan terhadap aset pailit itu terhambat oleh hukum yang berlaku di negara bersangkutan. Indonesia dan ASEAN sampai saat ini belum memiliki peraturan kepailitan yang mengikat negara anggotanya dalam penyelesaian permasalahan ini. UNCITRAL Model Law on Cross Border Insolvency with Guide to Enactment adalah sebuah model hukum kepailitan lintas batas yang dibuat oleh Persatuan Bangsa-Bangsa yang bertujuan untuk menjadi rujukan negara-negara dunia dalam usaha modernisasi dan harmonisasi hukum kepailitan nasional masing-masing. Artikel ini menunjukkan bahwa UNCITRAL Model Law on Cross Border Insolvency with Guide to Enactment yang menganut prinsip fleksibilitas dapat dijadikan solusi dalam upaya melakukan modernisasi dan harmonisasi hukum kepailitan negara-negara ASEAN, khususnya Indonesia.

Abstract:
<p>Legal problems due to cross border insolvency are increasingly complex. The United Nations has issued the 1997 Model Law on Cross border Insolvency (CBI) to help countries solve their CBI problems. However, this model law is not effective because very few countries adopted it. The legal problem studied is why very few countries adopted the model law and how to overcome the ineffectiveness of the model law. The results of the study indicate that the lack of adoption of the model law caused by: the model law is only a non-binding legislative text; Too much flexibility encourages deviations from the provisions; do not want to reduce their sovereignty, status quo, international cooperation recommended by the model law is not always of primary interest, and many countries have been bound by international agreements on regional CBI which are considered more relevant than the model law. Dalam era globalisasi, perdagangan tak lagi hanya dilakukan dalam satu wilayah negara, melainkan dapat pula antarnegara. Perkembangan bisnis internasional beriringan dengan kebutuhan akan hukum yang juga akomodatif. Dalam perjanjian pinjam-meminjam antarpelaku usaha, ada kalanya debitor tidak dapat membayarkan utangnya sehingga mengalami kepailitan. Hal ini membuat kepailitan lintas batas menjadi diskursus yang penting dalam mengimbangi dinamika dunia usaha saat ini. Dalam tulisan ini, ada beberapa hal terkait yang akan dibahas. Pertama, UNCITRAL Model Law on Cross-Border Insolvency memberi pedoman terkait hukum kepailitan lintas batas. Kedua, status quo hukum kepailitan Indonesia dalam mengatur kepailitan lintas batas. Ketiga, studi komparasi dengan Singapura sebagai negara yang hingga sebelum 2017 tidak menerapkan UNCITRAL Model Law on Cross-Border Insolvency. Keempat, urgensi UNCITRAL Model Law diimplementasikan dalam hukum kepailitan Indonesia. Tulisan ini dibuat berdasarkan penelitan yuridis-normatif dengan bahan hukum primer dan sekunder sebagai data sekunder yang menjadi dasar analisis.

Abstract:
This paper is concerned with the laying down of the law in international and domestic arbitration. Interest centres on regulative and constitutive functions, and an analysis of realisation patterns of regulative (directive) acts is reported. The focus is on the linguistic realisation patterns of obligation, prohibition, and permission in terms of modal verbs and constitutive rules.The findings show that the language of the law characteristically select patterns of directives which are specific to the legal domain. Face redress typically used in everyday communication as well as business interaction is not a device used in arbitration law. Moreover, the linguistic devices employed differ as regards different parts of the law. Modal verbs are typically applied for action rules, whereas constitutive rules are mainly reserved for stipulation rules and definition rules.The analysis offers a comparison of Unicitral Model Law and domestic law. Finally, attention is paid to the adequacy of the chosen linguistic realisation patterns as regards simplification/ easifi cation of legal expressions. The results are compared to those obtained in a previous study of Contract Law.

Abstract:
The author examines whether an award signed electronically can be deemed to constitute an award in writing as provided for in Article 31 of the UNCITRAL Model Law, which is reflected verbatim in article 1197 of the Polish Civil Code. The conclusion is that an electronic signature as such is functionally equivalent to the written signature. Having said that, not all types of electronic signature can be admitted in this respect. The eIDAS Regulation (Regulation 910/2014 of the European Parliament and of the Council on electronic identification and trust services) provides for three types of electronic signature: regular, advanced, and qualified, stating that the qualified signature should be deemed as equivalent to the written signature. The author is of the opinion that both the advanced and qualified electronic signatures fulfil the requirements of the form ‘in writing’, ensuring the safeguards as listed in article 26 of the Regulation. Abstract:
The nature of legislation is to control human relations and actions by words. Legislative writing displays relative uniformity though, as a genre, some variations are allowed across legal systems, as in the case of arbitration laws. This article focuses on the generic variation of two arbitration laws: the UNCITRAL Model Law on the International Commercial Arbitration (hereafter UNCITRAL) and the Brazilian Arbitration Law 9.307/1996 (hereafter BAL). Arbitration is an alternative form of confl ict resolution based upon the free will of the parties to invest arbitrators, (not the judiciary) with the jurisdiction to settle disputes in a contract of commercial nature. The claim is that the analysis (at surface level) of textual organization and legislative style in the data cannot account alone for an explanation of how legislative information is functionally realized in order to achieve its communicative intent. To explain this we, therefore, also consider how legislative information is packaged by means of some textualization devices (qualifi cational insertions, binomial and multinomial structures and textual-mapping) and conclude by showing how recontextualization is realized in the data by means of generality, fuzziness and vagueness of terms and expressions.

Abstract:
This article describes why a small country like Finland, which has excellent natural attributes as a place for arbitration (political neutrality and stability, respect for the rule of law, freedom from corruption and a central location between East and West), but which is little resorted to for this purpose, being overshadowed by its neighbour, Sweden, should adopt the United Nations Commission on International Trade Law (‘UNCITRAL’) Model Law on International Commercial Arbitration (the ‘Model Law’). The indispensable condition for any country to develop as a place for arbitration is for it to have a modern and internationally acceptable arbitration law. However, Finland’s arbitration law is relatively old (dating from 1992) and based on an antiquated Swedish model. What is more serious is that Finland’s legal infrastructure for arbitration, that is, its arbitration law and court system, is not perceived by international arbitration users and arbitral institutions as being internationally acceptable. By contrast, the Model Law is recognized today as the ‘baseline for any state wishing to modernize its law of arbitration’ Accordingly, if Finland wants to become an attractive place for international arbitration, as it should do, the obvious solution is for it to adopt the Model Law. This will make Finland instantly recognizable around the world as having a modern and internationally acceptable arbitration law.
