Abstract:
This article focuses on the rules for creating contracts under the Islamic Majallah and unidroit Principles of 2010. The research uses an analytical approach and comparative Arab jurisprudence. To compare the Majallah and unidroit Principles academically, this article’s focus is especially on countries where the civil law originated from the Majallah. Such countries include Jordan, Kuwait, and the United Arab Emirates. Here we show that the Majallah generally agrees with the unidroit Principles regarding the rules of contract formation. The main points of disagreement between the two are seen in a very limited number of concepts.

Abstract:
This article provides a general analysis of the Model European Rules of Civil Procedure established in 2020 (hereinafter – the Rules). It describes their structure, defines the purpose and goals, main principles. The author comes to the conclusions regarding the role and importance of these Rules for the further development of civil proceedings, both in the EU Member States and in other countries, in particular, in Ukraine. The important role of the unification of the terminology of civil procedure is identified. In particular, we are talking about such specific institutions of civil procedural law as the principle of cooperation between a judge and parties, the principle of settlement, case management and others, which are absent in Ukrainian national legislation, nevertheless, very important for the scholar research. Second, the scope and main principles of the Rules require rethinking of traditional approaches to regulating the relationship between a judge, parties and their representatives, as well as the role of a judge in proceedings, new approaches to the phasing of court proceedings and the differentiation of civil procedure, which should be helpful while further development of the civil procedural legislation in Ukraine. Keywords: access to justice; civil proceedings; dispute settlement; the principle of cooperation between a judge and parties; the principle of proportionality; effective protection of rights.

AbstractThe UNIDROIT Principles of International Commercial Contracts have appeared in a small but steady trickle of investment treaty arbitrations over the last decade. This article considers the use of the Principles by investment tribunals on questions of both domestic law and international law. It suggests that reference to the Principles can play an important legitimating role on questions of domestic law, but that this should not replace reference to the applicable law. On questions of international law, reference to the Principles may be justified by resort to the general principles of law. However, the article contends that there is only a limited role for the UNIDROIT Principles where the primary and secondary rules of investment protection are already found in treaties and custom. In addition, while general principles have historically been drawn from domestic private law, there is increasing recognition that general principles of public law are more relevant to investment arbitration. Given this, arbitrators resolving questions of international law must be cautious in references to the UNIDROIT Principles, a quintessentially private law instrument.

Abstract This study compares the approach that Qatari Civil Law No. 22/2004 (QCL) takes to standard terms with that taken by the UNIDROIT Principles of International Commercial Contracts 2016. The main difference between QCL and the UNIDROIT Principles, is that the QCL relates standard terms contracts with adhesion contracts. The latter are only concerned with strategic goods and services that are monopolized by the supplier. Another difference is the remedy; under the QCL, the judge has the authority not only to exempt the adhering party from the oppressive standard term, but to also amend that term. However, under the UNIDROIT Principles, surprising terms are invalid. The study recommends that the Qatari legislator remove the connection in the QCL between standard terms contracts and adhesion contracts, and limit judges’ authority to exempting disadvantaged parties from oppressive terms.

Abstract:
<p>International Contract Law presently offers three sets of principles: the UNIDROIT Principles of International Commercial Contracts (the UNIDROIT Principles), the Principles of European Contract Law (the PECL) and the Draft Common Frame of Reference (the DCFR). These sets of principles contain general principles which are intended to serve as model rules. The three sets of principles have been published, but they have not been adopted. The UNIDROIT Principles and the PECL are not meant to be adopted either. There are different opinions as to whether the sets of principles can be considered to be a source of legal status at all.</p><p>The sets of principles have been referred to in Swedish law. Swedish case law – in which the principle collections are mentioned – serves as guidance to when these sets can be expected to be part of Swedish law since the UNIDROIT Principles, the PECL and the DCFR <em>not</em> are regulations.</p><p>Four cases from the 21<sup>st</sup> century have been found in which the sets of principles have been mentioned. A principle from the DCFR was applied by the Swedish Supreme Court in the case <em>NJA 2009 s. 672</em> – which was one of the four cases that were found. An analysis was made in order to identify similarities and differences as to when the UNIDROIT Principles, the PECL and the DCFR previously have been mentioned in Swedish case law.</p><p>It has been difficult to find similarities in the four cases that were found. Neither the form of contract, the contract-type, nor the presence of any international dimension in the proceedings were common denominators. One common denominator was however the Justice Council named <em>Torgny Håstad</em>. <em>Håstad</em> being one of the judges in each of the four cases – he was also one of the judges in the case <em>NJA 2009 s. 672</em>. It is particularly noteworthy since <em>Håstad</em> has been involved in the European project which resulted in the DCFR.</p><p>The absence of a clear pattern on when the principle collections are mentioned in Swedish case law shows that the legal certainty might be at risk. The legal certainty is endangered since it in present time seems to be necessary to see to which judges and referees are ruling in the case and their respective personal attitude towards the UNIDROIT Principles, the PECL and/or the DCFR.</p>

Abstract:
Despite ever growing international trade and dispute settlement, a consistent international methodology of uniform private law has yet to be formed. This is needed in order to encourage the use of existing uniform transnational law rules specifically designed for application to international commercial contracts. This study examines uniform contract law in legal methodology and considers the barriers which exist toward it in modern nation states. It explores ways in which these barriers can be overcome and considers whether it is thereby possible to create a specific methodology of international contract law. Through exploring these three areas, this thesis intends to distinguish and analyse the main obstacles to the application of uniform contract law. The study is therefore organized into three sections, each exploring one of those methodological obstacles and providing solutions for overcoming them. Part One discusses the barriers erected by traditional theories of contract law. Part Two addresses the attitude taken by national lawyers when applying uniform law and enquires how this attitude is formed. This section also asks why this attitude provides an obstacle to the success of uniform law and considers ways in which it could be changed. Part Three, the third and final section considers the treatment of uniform contract law in the context of conflict of laws. This section also asks how seemingly opposite positions in the modern and traditional theory of private international law can be reconciled and considers the ways in which uniform contract law can be applied within a domestic law context as lex contractus. The author argues that the points of resistance identified can be tackled by developing an autonomous methodology of interpretation of transnational contract principles; and, by treating model sets of transnational contract principles as a form of lex specialis. Overall, the thesis seeks to demonstrate that the potential of the UPICC has not yet been fully recognised, and that barriers to such recognition are not insurmountable.

Dans l’espace OHADA, un avant projet d’acte uniforme sur le droitdes contrats a été rédigé sur le modèle des Principes Unidroit, ce en reprenant quasimenttoutes leurs dispositions.Au regard de la neutralité culturelle des Principes Unidroit, il est fondé de se demander s’ilétait opportun de s’en inspirer pour rédiger un texte dans un espace majoritairement civiliste.Le traitement pertinent de cette question postule de s’arrêter sur le substrat philosophiqueinnervant les Principes Unidroit. Dans cette optique, la favor contractus, contrairement à laliberté contractuelle, la bonne foi, l’application des usages et la lutte contre la déloyauté dontl’orientation axiologique est claire, est un bon prisme d’analyse. A travers la protection ducontrat, il est aisé de savoir si les Principes Unidroit constituent une agression à la traditionjuridique majoritaire des pays de l’espace OHADA. Pour maitriser la variété des risquespesant sur l’acte juridique, les Principes Unidroit abordent la sauvegarde du contrat sous leprisme temporel. Ainsi, ils veillent à garantir son existence et à assurer son exécution. Cefaisant, ils n’arbitrent pas entre efficacité économique et civisme contractuel. Il en résulte que,malgré l’imperfection de certaines de leurs règles, les Principes constituent une bonne sourced’inspiration pour le législateur OHADA qui gagnerait à les améliorer avec les avancées desprojets de réforme du droit des contrats en France<br>The UNIDROIT Principles of International Commercial Contracts were drafted with the aimof creating universal rules based on a pragmatic approach, and not in defense of a particularlegal tradition. In the OHADA area, a preliminary draft Uniform Act on contract law wasdrafted using the Unidroit Principles as a model, which took up nearly all of the provisions.Given the cultural neutrality of the UNIDROIT Principles, one may wonder whether thisinstrument was indeed an appropriate source of inspiration for a predominantly civil law area.A proper analysis of this issue implies to scrutinize the philosophy underlying the UnidroitPrinciples. In this regard, and contrary to concepts such as freedom of contract, good faith andfair dealings, due consideration given to usages and fight against unfairness which have aclear axiological orientation, favor contractus provides a good lens for analysis. Focusing onthe protection of the contract, it will be easily understandable whether the UNIDROITPrinciples are an assault to the legal tradition of the majority of OHADA countries. With aview to controlling the variety of risks bearing upon the contract, the Unidroit Principles dealwith the protection of the contract under a temporal perspective, keeping it in existence andensuring its performance. In so doing, they do not make a choice between economicefficiency and contractual fairness, but integrate both. As a result, and despite theimperfection of some of their rules, the UNIDROIT Principles provide a valuable source ofinspiration for the OHADA legislator, who could also benefit from certain improvements tobe drawn from the contract law reform projects in France

Magistro baigiamajame darbe analizuojami užsienio teisės recepcijos proceso etapai, jo ypatumai bei priežastys. Šis procesas Lietuvoje tiriamas remiantis nevalstybinių teisės vienodinimo instrumentų – UNIDROIT, PECL – bei nacionalinio kodekso lyginamąja analize. Išskiriami šie recepcijos etapai: (1) įtaka teisės doktrinai (2) teisės akto tekstui (3) teisės normos aiškinimui (4) subjektų teisiniams santykiams (5) nuolatinis recepuotų teisės normų peržiūrėjimas. Užsienio teisės recepcijos pagalba siekiama modernizuoti valstybėje esančią teisės sistemą, pritaikyti ją prie nuolat besikeičiančių ekonominių santykių. Tai – daugelio valstybių dažnėjanti praktika, ne išimtis ir Lietuva, nes nemažai nacionalinio kodekso sutarčių teisės instituto nuostatų yra perimtos būtent iš UNIDROIT ir PECL principų, kurie vertinami kaip „geresnė teisė“ (angl. – better law). Paprastai recepcija prasideda esant pakankamai išplėtotai teisės doktrinai šiuo klausimu (pirmasis etapas), tačiau Lietuvos atveju įvyko priešingai – pirmiau sukurtas LR CK, į kurį inkorporuotos Principų nuostatos, ir tik vėliau pradėta plėtoti teisės doktrina, kuri ir dabar nėra pakankamai išsami. Antrasis etapas Lietuvoje yra ryškiausiai matomas, o tai atspindi UNIDROIT, PECL, LR CK struktūrų lyginamoji analizė, nacionalinio kodekso komentare aptinkamos tiesioginės nuorodos į Principus bei pažodinis kai kurių nuostatų atkartojimas. [toliau žr. visą tekstą]<br>The analysis of reception process in Lithuania deals with the problems of the non-state codification frameworks – the Unidroit Principles of International Commercial Contracts (UP) and Principles of European Contract Law (PECL) – and their impact on the Lithuanian Civil Code. The phenomenon of the reception in the master thesis is described at five levels: (1) reception as it is related to legal doctrine, (2) reception as regards legal rules (the text of the Lithuanian Civil Code), (3) reception with reference to the practical interpretation and application of legal rules, (4) the impact of reception on the relations of the law subjects and (5) reception as constantly shifting process. The reception of the UP and PECL is well known in many countries. Lithuania is not an exception of this point – most of the provisions of the UP and PECL were incorporated into the text of Book 6 Part II (General Provisions of Contract Law) of the new Lithuanian Civil Code. Usually the process of reception begins where legal doctrine is well-developed (First level). Contrarily, the legal doctrine of Lithuania was started to create after the creation of the Lithuanian Civil Code. Second level is most obvious and that is seen in the structural analysis of the UP, PECL and Lithuanian Civil Code.
