Throughout much of the twentieth century Walt Disney wielded considerable influence in American culture. By identifying and commercially exploiting a strain of environmental thought that sentimentalized and romanticized nature, Walt Disney influenced the attitudes of millions of Americans concerning how they conceptualized environmental issues. The Walt Disney Company’s nature documentaries and their popularity as both entertainment as well as educational material helped disseminate the virtues of conservation within the American mindset. The Disney interpretation of conservation clashed with other post-war environmental understandings of the ethic, as did the company’s consistently inaccurate representations of nature on film. Disney’s particular strain of environmentalism, based on an Edenic appreciation for nature, the belief that to conserve land it must be developed, and practice of moralizing to humans through anthropomorphized depictions of animal behavior, stood out in contrast to other existing post-war environmental mindsets during the controversy surrounded the proposed construction of a vacation resort in Mineral King, California, following Disney’s death.

The opposition between nature and boundaries is well known : whereas nature knows no boundaries, public law is spatially structured by boundaries. However, such an opposition is currently being overcome under the influence of several factors. First, environmental law creates new boundaries that are no longer modelled on human boundaries but on nature ones. The notions of ecological zoning and above all ecological network illustrate this trend. Then, environmental law uses transboundary cooperation to mitigate the effects of boundaries on nature. Eventually, a complementarity is asserted between environmental law and infra-State transboundary cooperation law. The right to cooperate has been recognized to regional and local authorities and to public establishments responsible for nature conservation. Besides, relatively appropriate tools have been made available for cooperation in nature conservation. Nevertheless, this complementarity is being tested by the significant differences that may exist between national laws of neighbouring countries and, above all, by the lack of accountability of infra-State cooperation actors with respect to international environmental obligations. Thus, within transboundary environmental law, the emerging sector of transboundary nature is not as mature as the older one related to transboundary pollutions

Aiming to create the concepts for the nature of the juridical relation between the officer and the joint-stock companies, this work initially exposes the institutionalized power centers, their structures composition and roles developed in the company. In the sequence, the essay outlines to which of those power nuclei the Law has ascribed the ordinary activities of direction, performance and supervision of the corporate activity. After the officer is characterized, the work analyzes the quality under which such officer acts and produces certain effects on his/her behavior. To define such position held with the company, it is verified the nature of the assigning the legal personality to the collective entity and its independence towards the underlying members. The bond creating such legal position, however, does not have unified theoretical ground in the foreign doctrine and neither is it a consensus among the Brazilian teachers. Hence, adequacy of each theorys main arguments is assessed against the countrys legal system by addressing the structural elements in the act of fulfilling the body. Modality of such act is defined by analysing the nature of the election, assessing deliberation of the empowered bodies, the possibility of manifesting the social will directly to third parties and to produce certain effects in autonomous manner, as well as the integration roles of the acceptance as a condition for existence of a bilateral juristic act or condition for efficacy of an unilateral juristic act. Finally the main characteristics of such legal relation are confronted with the power-ofattorney, service rendering and employment agreements to enable verification of their typical adequacy and definition of a concept to the act of fulfilling the administration body of the joint-stock companies.

Private individuals can voluntarily buy EU Allowances (EUA) in order to remove them from the European Union Greenhouse Gas Emission Trading System (EU ETS). It leads to progressive reduction of total carbon dioxide emissions in Europe. Kalmar Energi offers customers to obtain one EUA (equivalent to one ton of CO2) per year by paying 25 SEK a month as a KlimatEl-supplement. The purpose of this research is to examine the customers’ attitudes in the issue of climate compensation and trying to define the reasons behind their choices.
The results of the quantitative questionnaire were analyzed by using descriptive and analytical statistical methods and have shown some correlation between customers’ ages and decisions to accept or not the offer of KlimatEl. The gender and attitudes about everyday environmentally friendly behavior allows us to segment this group. The strongest motivation for investment in KlimatEl appeared to be awareness of the negative consequences caused by climate changes and the feeling of threat to human health and welfare. The main reasons to decline the offer of KlimatEl is skepticism about the system of emissions trading, distrust of the efficiency of this act and also a lack of confidence in the energy company.
Knowledge of carbon offsetting is surprisingly weak among KlimatEl customers. Their willingness to do something morally right and to support the energy company explains their commitment more than their knowledge of the ecological impact of this act or desire to be a part of the green trend. The result of this research shows the need for efficient information building a correct and positive perception of KlimatEl as a product and even of Kalmar Energy’s environmental work.

In the french and the quebec systems of law, legal personality is characterized by a cleavage in the concept. On the one hand, it appears to be more of a condition to ensure the efficiency of group actions, while on the other - traditionally the representation of interests of more than one person - it has become recognized as mere techniques for group representation or of assignments of assets. This common observation made of the insufficiencies of the concept underlying legal personality constituted the culminating point in the orientation of this thesis. It has led to first questioning the very basis of legal personality and second, the classical theory of patrimonial unity, without which legal personality would not have undergone such development. Thus, a fresh analysis of the concept is now in order. Legal personality is neither a fiction nor a reality, but simply the juridical technique used by the legislator to designate entities other than natural persons that may be recognized as subjects of rights once this definition received acceptance, it became necessary to turn to other concepts in order to explain the nature of quebec partnerships. The introduction into the new civilcode of the theory of patrimony by appropriation provided an interesting alternative. If the basis of an autonomous patrimony of associations could no longer reside in legal personality, then the concept of patrimony by appropriation could explain it adequately. This approach provided, in fact, several advantages : it made it possible to resolve the paradox underlying partnerships while maintaining the unity of the legal person. Furthermore, it brought about a reconciliation of positive law with historical precedent by confirming the historie abnormality in determining the juridical nature of partnerships

The law has not provided an accurate definition of the notion of a company manager. In an attempt to determine who within the company has the status of company manager, doctrine and case law have tackled the issue, and two criteria for such determination have been adopted, namely the performance of two powers of management and representation in the company. These two criteria also allow us to distinguish the concept of the company manager from a few related concepts such as the head of the company and the employer.The legislative vacuum regarding the definition of the notion of company manager excludes the existence of a true unified legal status of the company manager, whereas, on the contrary, there is a plurality of statutes due to the different treatment reserved by law for managers of companies of different corporate forms. In an attempt to assess the status of the company manager, the doctrine and case law have defined the link between the manager and the company he or she manages. Thus, the development of the status of the company manager was at the heart of an overall development in company law. Indeed, for more than a century, the company manager has been considered as the company's representative, due to the contractual analysis of the company, before being qualified as a company body, following the development of the institutionalist theory of the company. However, although these analyses enable the condition of company managers to be assessed to a large extent, they prevent an objective and unified analysis of the condition of company managers. Thus, a new concept has been developed in doctrine and endorsed by case law examines the status of the company manager on the basis of the specific nature of his or her functions, by describing the company manager as a true professional.As with the issue of the legal status of the company manager, the nature of his or her civil liability has been the subject of controversy in doctrine, sustained by case law that has not settled the issue conclusively. Indeed, while for the proponents of the director-representative theory, the civil liability of the company manager towards the company and the partners is contractual in nature, the proponents of the body theory, who deny any contractual link between the manager and the company or the partners, qualify this liability as tortious. However, the professionalization of corporate functions has led to the adoption of a typical liability regime, which considers the specific nature of the functions of the company manager. Thus, the liability of the company manager can only be referred to as professional.The specific nature of the civil liability of company manager is also apparent in his or her functions. Indeed, while conventionally civil liability has as its main objective the compensation of victims of harmful acts. The civil liability of a company manager fulfils a triple role. In the first instance, it provides compensation to victims of harmful acts committed by the company manager (the reparative function), but it also sanctions the wrongful behavior of the company manager (the repressive function), while defining in negative terms the standards of behavior to which the company manager is bound (the normative function)

Företag existerar inte som isolerade organisationer. De är inbäddade i strukturella relationer med varandra. Att kartlägga ett visst företags relationer med andra företag när det gäller konkurrenter, dotterbolag, leverantörer och kunder är nyckeln till att förstå företagets huvudsakliga riskfaktorer och möjligheter. Det konventionella sättet att hålla sig uppdaterad med denna viktiga kunskap var genom att läsa ekonomiska nyheter och rapporter från högkvalificerad manuell arbetskraft som till exempel en finansanalytiker. Men med utvecklingen av ”Natural Language Processing” (NLP) och grafdatabaser är det nu möjligt att systematiskt extrahera och lagra strukturerad information från ostrukturerade datakällor. Den nuvarande metoden för att effektivt extrahera information använder övervakade maskininlärningsmodeller som kräver en stor mängd märkta träningsdata. Datamärkningsprocessen är vanligtvis tidskrävande och svår att få i ett domänspecifikt område. Detta projekt utforskar ett tillvägagångssätt för att konstruera en företagsdomänspecifikt ”Knowledge Graph” (KG) som innehåller företagsrelaterade enheter och relationer från SEC 10-K-arkivering genom att kombinera en i förväg tränad allmän NLP med regelbaserade mönster i ”Named Entity Recognition” (NER) och ”Relation Extraction” (RE). Detta tillvägagångssätt eliminerar den tidskrävande datamärkningsuppgiften i det statistiska tillvägagångssättet och genom att utvärdera tio SEC 10-K arkiv har modellen den totala återkallelsen på 53,6 %, precision på 75,7 % och F1-poängen på 62,8 %. Resultatet visar att det är möjligt att extrahera företagsinformation med hybridmetoderna, vilket inte kräver en stor mängd märkta träningsdata. Projektet kräver dock en tidskrävande process för att hitta lexikala mönster från meningar för att extrahera företagsrelaterade enheter och relationer.

A humanidade está testemunhando e experimentando os efeitos da degradação do ambiente natural, em escala e escopo sem precedentes na sua história, o que vem provocando crescente inquietação com a qualidade e o futuro do meio-ambiente diante da perda da biodiversidade e da transformação irrecuperável de ambientes naturais. A pesquisa analisa a estratégia de internacionalização e o uso sustentável da biodiversidade como um diferencial adotado nesse processo por uma empresa brasileira - a Natura - que vem crescendo e tendo destaque internacional além de ser reconhecida pela sua responsabilidade social e ambiental. A interpretação dos dados foi feita com base no referencial teórico, fundamentado na revisão de literatura, utilizando o modelo Genérico Integrativo (GI) de Macedo-Soares (2000). Foi adotada, para a análise do estudo de caso, a estratégia de triangulação de métodos, portanto as informações foram coletadas por meio de investigação documental, de levantamento de percepções por meio de entrevistas com formulário estruturado e de levantamento complementar por meio de entrevistas com roteiro guiado. Por meio dos resultados obtidos evidenciamos que a empresa, ao contrário da maioria, não adota alianças em seu processo de internacionalização. A Natura acredita quem tem mais a perder com uma parceria mal realizada do que fazendo investimento próprio em novos países. Outra evidência importante está no fato de que, embora a empresa possua como estratégia de negócio bem sucedida no Brasil a venda direta, durante seu processo de internacionalização para a Europa precisou repensar essa estratégia empresarial para ter sucesso naquele mercado. Isso foi feito, porque a Europa é, sem dúvida, um excelente mercado consumidor para empresas preocupadas com o uso sustentável da biodiversidade.
The mankind is witnessing and suffering the consequences of the environment degradation, in scale and scope never seen in history. However, there is a growing concern regarding the quality and the future of the environment due to the loss of biodiversity and the definitive changes in Nature. The present research analyzes the strategy of internationalization and sustainable use of biodiversity as a competitive advantage of a Brazilian company, Natura, which has sustained a steady growth pace. Natura is well recognized also for its corporate social and environmental responsibility. The data interpretation found in this study was based on the theoretical references from the literature review, using Macedo-Soares` (2000) systemic and integrative model for strategic assessment. Following that, a strategic triangulation of methods was adopted in order to analyze the case study. The information was collected by documental investigation, perception with surveys and complementary data with guided interviews. Through the results obtained we concluded that the company, as opposed to many other companies, does not adopt alliances in the internalization process. Natura believes that the company has more to risk by choosing a bad partner than using its own capital to start business in other countries. Another important point is that although the company is very well succeeded in Brazil with direct sales, a new strategy had to be implemented in Europe to succeed in the European market. Without any doubt Europe is an excellent market for companies oriented towards sustained used of biodiversity.

The contract, an institution usually endorsed by at least two people, has now undergone for many years the influence of a movement instilling more of what French authors call unilatéralisme, meaning more unilateral powers to only one of the contractors. The influence of unilatéralisme over the contract, contemporary to the more and more significant place of the individual in society, took place gradually. Initially confined to peripheral clauses of the contract such as termination clauses, unilateralism took an increasingly important place until it reached the very heart of the exchanges between the parties. The diversification of the economic model of the contract, which was initially based on the exchange established by the sale of goods and which encompasses today other economic operations based on the cooperation between the parties, is essential to understand this evolution. The logic underlying the economic operation of the contract, an exchange or a cooperation, will guide the understanding of the limits of the unilateralism.Once unilateralism has been accepted at the heart of the exchanges, the limits of the unilateral power remain to be defined. The enforcement of unilateral powers requires a rigorous framework to avoid any misuse and abuse of the unilateral power. The legislator provided a few mechanisms to perform this control of the use of unilateral powers, for example the duty to give reasons. Other tools, inspired by Brazilian law, could also contribute to strengthening this control. The evolution of contract law, the work of doctrine and case-law will determine the limits of the unilateralism
Tradicionalmente visto como o “templo da bilateralidade”, o contrato vem sofrendo nos últimos anos a influência de um movimento de valorização das chamadas prerrogativas unilaterais. A aceitação da influência do que a doutrina francesa convencionou chamar de “unilatéralisme” encontra eco na valorização recente do indivíduo dentro da sociedade, característica do pós-modernismo. Se, inicialmente, a influência das prerrogativas individuais só podia ser observada em cláusulas ditas “marginais” do contrato, como as cláusulas resolutivas, hoje as prerrogativas unilaterais fazem parte também do conteúdo central do instrumento contratual. O aumento da importância das prerrogativas unilaterais pode ser explicado pelo movimento da “diversificação” do modelo contratual. Inicialmente visto como tão somente uma troca entre os contratantes, como o que ocorre no contrato de compra e venda, o contrato hoje deve levar em conta diversas outras operações econômicas, muitas vezes numa lógica de cooperação entre as partes (distribuição, franquia, entre outros). No entanto, a multiplicação desse tipo de cláusula apresenta um risco para o equilíbrio contratual. Sem um controle rigoroso, a execução dessas cláusulas pode dar margem a abuso. Assim, a presente tese propõe alguns limites para as cláusulas que conferem um poder unilateral, evitando o abuso no uso das mesmas. Alguns dos mecanismos de controle são diretamente inspirados do direito brasileiro. Outros, fazem parte da realidade contratual do direito francês. Os verdadeiros limites dessas cláusulas serão estabelecidos pela evolução do direito dos contratos e pela influência da doutrina e da jurisprudência

The dissertation approaches the interaction University-company in the extent of the Federal University of Rio Grande do Sul - UFRGS. The main objective is to analyze the interaction University-company of UFRGS, meditated in the development politics and technological innovation, under responsibility of Secretariat of Technological Development-SEDETEC. The specific objectives were presented in three articles, being them: article 1-to identify the quality demands in the interaction process between UFRGS and companies partners and to propose improvements for this process; article 2-to describe the interaction modalities and to present the flow of the formalization of the process of interactions of the Federal University of Rio Grande do Sul (UFRGS) with the Companies, accomplished through united projects; and article 3-to analyze the impact promoted by interaction projects between UFRGS and PETROBRAS, fomented by sector bottoms and government incentives. The case study was the methodological procedure adopted for the accomplishment of the work. As result was obtained an integrated vision of the interaction process between UFRGS and companies. In the article 1 they were identified the main qualities disputed by the companies in the interaction process and the unfolding was accomplished in requirements of the quality for the phase of formalization of the interaction starting from the unfolding of these demands and the identification of the main prioritized procedures, improvement guidelines were presented for SEDETEC. The article 2 described the interaction modalities and it presented the flow of the formalization of the interaction process. The two modalities of interaction projects were presented, that can be through services rendered and partnership actions; the respective types of juridical instruments; and legislations and pertinent normative. In article 3, it was analyzed the impact promoted by interaction projects between UFRGS and PETROBRAS, fomented by sector bottoms and government incentives. The results of the projects were verified, considering the scientific, technological and strategic impacts so much for UFRGS as for PETROBRAS. Finally, there are recommendations of future works.

Los problemas de sostenibilidad ambiental, como el cambio climático, suelen ser de escala mundial pero necesariamente locales y materiales en sus manifestaciones. Sin embargo, la literatura sobre sostenibilidad y gestión ha prestado poca atención a cómo el entorno natural afecta a las organizaciones y sus operaciones. Un punto de vista emergente en la literatura sobre sostenibilidad retrata a las organizaciones como incorporadas a la naturaleza y permite una mirada más profunda a las interrelaciones locales entre las organizaciones y el entorno natural que las rodea. Esta tesis doctoral adopta esta perspectiva para comprender mejor cómo las organizaciones y sus miembros entienden e interpretan el entorno natural en el que están inmersas, y cómo estas interpretaciones dan forma a las prácticas organizativas. Para ello, se aplican metodologías de investigación cualitativas y cuantitativas para examinar hasta qué punto y cómo la experiencia directa de los fenómenos naturales, como los efectos del cambio climático o las catástrofes naturales, afecta a las respuestas y resultados de las organizaciones. Un primer estudio de métodos mixtos sobre productores de cacao en Brasil explora cómo los responsables de la toma de decisiones en contextos vulnerables experimentan las consecuencias del cambio climático y cómo sus diferentes interpretaciones dan forma a las respuestas adaptativas organizativas. Este estudio se centra en las respuestas organizativas inmediatas a los fenómenos naturales adversos. Un segundo estudio investiga empíricamente los efectos a largo plazo de la experiencia de los fenómenos naturales en los resultados organizativos. Basándose en el análisis de datos cuantitativos sobre empresas japonesas en el contexto del Gran Terremoto del Este de Japón, este estudio propone el concepto de crecimiento postraumático organizativo para captar el cambio emergente en los valores organizativos y la capacidad de respuesta a las necesidades sociales tras el desastre natural. Estos estudios se centran en las interrelaciones locales entre las organizaciones y el entorno natural en el que están inmersas. Si bien este enfoque contribuye a la creciente literatura sobre las organizaciones y el entorno natural, también implica el riesgo de perderse en la infinidad de especificidades e interpretaciones que caracterizan a cada contexto y que deben integrarse con la escala global de las cuestiones de sostenibilidad. Conciliar la escala local y la global, necesarias para abordar estos retos de sostenibilidad, no es nada trivial. Por ello, un tercer estudio pretende hacer una contribución teórica a las tensiones que surgen entre la aplicación local de prácticas sostenibles y la necesidad de coordinación global en el contexto de las normas voluntarias de sostenibilidad. En conjunto, los tres estudios de esta tesis doctoral pretenden contribuir en la interrelación local entre las organizaciones y el sistema natural en el que están inmersas, para entender cómo las interpretaciones organizativas de los fenómenos naturales locales afectan a las organizaciones y cómo pueden abordarse eficazmente las tensiones entre los niveles local y global. Los principales argumentos se basan tanto en la teoría como en las pruebas empíricas, con lo que se ofrece un enfoque metodológico global apto para realizar aportaciones sustanciales al estudio de las organizaciones y la natura.
Environmental sustainability issues, such as climate change, are often global in scale but necessarily local and material in their manifestations. Yet the sustainability and the management literature has paid little attention to how the natural environment affects organizations and their operations. A burgeoning view in the sustainability literature portrays organizations as embedded in nature and allows for a deeper look at the local interrelations between organizations and the surrounding natural environment. This Ph.D. thesis adopts this perspective to provide a better understanding of how organizations and their members understand and interpret the natural environment in which they are embedded, and how these interpretations shape organizational practices. To that purpose, qualitative and quantitative research methodologies are applied to examine to what extent and how the direct experience of natural phenomena, such as climate change effects or natural disasters, affects organizational responses and outcomes. A first mixed-methods study of cocoa producers in Brazil explores how decision makers in vulnerable contexts experience the consequences of climate change and how their different interpretations shape organizational adaptive responses. This study focuses on the immediate organizational responses to adverse natural phenomena. A second study empirically investigates the long-term effects of experiencing natural phenomena on the organizational outcomes. Based on analyzing quantitative data on Japanese companies in the context of the Great East Japan Earthquake, this study proposes the concept of organizational post-traumatic growth to capture the emerging change in organizational values and responsiveness to social needs following the natural disaster. These studies hone in on local interrelations between organizations and the natural environment in which they are embedded. While this approach contributes to the burgeoning literature on organizations and the natural environment, it also implies a risk to get lost in the myriad of specificities and interpretations that characterize each context and that need to be integrated with the global scale of sustainability issues. Reconciling the local and global scale that are both required to address these sustainability challenges is far from trivial. Therefore, a third study aims to make a theoretical contribution to the tensions emerging between the local implementation of sustainable practices and the need for global coordination in the context of voluntary sustainability standards. Together, the three studies of this Ph.D. thesis aim to delve into the local interrelation between organizations and the natural system in which they are embedded, to understand how organizational interpretations of local natural phenomena affect organizations and how tensions between local and the global levels can be effectively addressed. The main arguments are grounded in both theory and empirical evidence, thereby providing a comprehensive methodological approach apt to make substantial contributions to the study of organizations and the natural environment.
