Throughout much of the twentieth century Walt Disney wielded considerable influence in American culture. By identifying and commercially exploiting a strain of environmental thought that sentimentalized and romanticized nature, Walt Disney influenced the attitudes of millions of Americans concerning how they conceptualized environmental issues. The Walt Disney Company’s nature documentaries and their popularity as both entertainment as well as educational material helped disseminate the virtues of conservation within the American mindset. The Disney interpretation of conservation clashed with other post-war environmental understandings of the ethic, as did the company’s consistently inaccurate representations of nature on film. Disney’s particular strain of environmentalism, based on an Edenic appreciation for nature, the belief that to conserve land it must be developed, and practice of moralizing to humans through anthropomorphized depictions of animal behavior, stood out in contrast to other existing post-war environmental mindsets during the controversy surrounded the proposed construction of a vacation resort in Mineral King, California, following Disney’s death.

Organisations can not realize their business objectives without employees. This means that employees are the most critical asset which organisations should be focusing on with much attention to their effectiveness. The work environment is considered to play a critical role in ensuring employee effectiveness which is supported by factors such as behaviours and actions of employees and the way they treat each other. These forms of behaviours and actions are classified as micro-inequities in this study. Currently there is no evidence of the prevalence of micro-inequities in South African organisations. The study examines the existence and nature of micro-inequities in a South African organisation. The study was conducted among eight employees of a global South African organisation based in Johannesburg South Africa. Qualitative data was collected by means of conducting semi-structured interviews which were recorded by using an audio recorder and written notes. The data provided broad insight on the experiences and perceptions of participants with regard to micro-inequities in the organisation. Thematic coding was used to identify themes as provided by participants. Based on in-depth analysis of the data on Social constructivist grounded theory guidelines, it is evident that micro-inequities do exist in the South African organisation. The existence of micro-inequities was underpinned by the experiences and perceptions as provided from the participant’s responses during the interviews. The results of the study indicate support for the reviewed literature on the types of micro-inequities existing in organisations. The results further demonstrate that micro-inequities have a negative impact on the effective functioning of employees. The study has created a foundation for further research, particularly in organisations in South Africa.

Blue compact galaxies (BCGs) are gas-rich star-forming low redshift galaxies with low metallicities. In some cases the relative strength of the starburst can be so high that it completely dominates the light output of the galaxy, an obstacle which has been countered by deeper optical imaging data and observations in the near infra-red (NIR) regime. This has revealed an older population referred to as the "host". In an effort to study the hosts of BCGs we have analyzed new and extremely deep UBVRIHKs imaging data for 46 high and low luminosity BCGs. For several BCGs the data reveal previously undetected extended low surface brightness components beyond the μB~26 mag arcsec-2 isophote. These are predominantly the luminous BCGs in the sample, and they show tails, plumes, optical bridges between companion galaxies, and other signs of merging or strong tidal interactions. The low luminosity BCGs, on the other hand, are well represented by an exponential disk profile down to the reliability limit of the data at a surface brightness level of μB~28 mag arcsec-2. The burst and host populations are examined separately. The integrated colors of both are compared to predictions from spectral evolutionary models, giving an indication of their respective ages and metallicities. Our analysis suggests that for the luminous BCGs a strong contribution by nebular emission is present almost down to the Holmberg radius, invalidating the host structural parameters obtained from brighter isophotes. Possible evolutionary links to quiescent galaxies like dEs, dIs, and LSBGs are explored by examining the structural parameters derived from two radial ranges typically assumed to be dominated by the underlying host galaxy. In this parameter space the luminous BCGs in our sample deviate from their low luminosity counterparts and from BCG data in the literature. They are instead consistent with the structural properties of giant low surface brightness galaxies with central surface brightnesses μB≥23 mag arcsec-2. We further examine the asymmetry and concentration parameters for the sample and study the correlation between the minimum asymmetry distribution in the optical and NIR vs morphological class, concentration and integrated colors to identify mergers/tidally interacting galaxies. A shift in the asymmetry distribution occurs for low luminosity BCGs from the optical to the NIR. In contrast, we find that the flocculent asymmetry component (due to star formation) completely dominates the composite asymmetry of high luminosity BCGs. We introduce an alternative asymmetry measure which successfully traces the dynamical asymmetry component (due to merging/tidal interaction) of the host.

Les relations entre la nature et les frontières sont traditionnellement conçues comme antagonistes : tandis que la nature ne connaîtrait pas de frontières, le droit public est, d’un point de vue spatial, structuré par les frontières. Le dépassement d’une telle opposition est cependant engagé, sous l’influence de plusieurs facteurs. D’abord, le droit de l’environnement crée ses propres frontières, indépendantes des frontières humaines et calquées sur celles de la nature. Les notions de zonage écologique et, surtout, de réseau écologique participent de ce mouvement. Ensuite, le droit de l’environnement recourt à la coopération transfrontalière, comme technique d’effacement fonctionnel de la frontière politique. Enfin, une complémentarité s’affirme entre le droit de l’environnement et le droit de la coopération transfrontalière infra-étatique. Le droit de coopérer a été reconnu aux collectivités territoriales et aux établissements publics compétents en matière de conservation de la nature, et des outils de coopération relativement adaptés à ce domaine ont été mis à leur disposition. Toutefois, une telle complémentarité est mise à l’épreuve par les différences importantes qui peuvent subsister entre les droits nationaux d’Etats frontaliers et, surtout, par la responsabilisation insuffisante des acteurs de la coopération infra-étatique face aux obligations internationales environnementales. The opposition between nature and boundaries is well known : whereas nature knows no boundaries, public law is spatially structured by boundaries. However, such an opposition is currently being overcome under the influence of several factors. First, environmental law creates new boundaries that are no longer modelled on human boundaries but on nature ones. The notions of ecological zoning and above all ecological network illustrate this trend. Then, environmental law uses transboundary cooperation to mitigate the effects of boundaries on nature. Eventually, a complementarity is asserted between environmental law and infra-State transboundary cooperation law. The right to cooperate has been recognized to regional and local authorities and to public establishments responsible for nature conservation. Besides, relatively appropriate tools have been made available for cooperation in nature conservation. Nevertheless, this complementarity is being tested by the significant differences that may exist between national laws of neighbouring countries and, above all, by the lack of accountability of infra-State cooperation actors with respect to international environmental obligations. Thus, within transboundary environmental law, the emerging sector of transboundary nature is not as mature as the older one related to transboundary pollutions

Considering the recent corporate scandals over the past couple years – VBS Mutual Bank, McKinsey & Trillian, Steinhoff, EOH and possibly Tongaat Hulett to name but a few – many shareholders may seek to hold the directors and management of such entities personally liable for their involvement or negligence. Especially where their actions were tantamount to fraud, they benefited in some way and or as a result the company, and possibly the shareholders, suffered damages. This is especially true when a company as consequence is liquidated and cannot institute action on its behalf. It is submitted that directors are rarely held personally liable for failing to fulfill their duties, let alone liable to the shareholders. The risk of failing to monitor internal controls or business risks, and to hold those acting on behalf of the company responsible and accountable for their actions, is dangerous due to the significant effect that such failure could have on the economy, for example the economic collapse with respect to the recent Steinhoff debacle. Whereas the earlier Companies Act 61 of 1973 did not necessarily ‘spell out’ directors’ duties in detail, the Companies 71 of 2008 comprehensibly records their statutory and common law duties. To this extent the board is held accountable and can ensure proper governance in the company’s internal affairs. Shareholders expect management to maximise the value of a company for the benefit of the shareholders and to act in their best interest. In achieving this, directors are required to act in the best interests of the company. However, directors may use their elevated position for their own personal gain and self-interests. Thus, in which circumstances will courts pierce the corporate veil, stepping aside from a company’s unique legal personality, to impute liability to the wrongdoers lurking behind? The relationship between directors, a company and its shareholders is a fiduciary one which imposes certain duties upon directors. However, it is well established in law that directors’ duties are owed to the company itself. Thus, considering common and statutory law, on what legal basis would shareholders be able to bring a claim against directors for the loss or damage they suffered due to an act of the directors? Considering the above, this paper seeks to explore directors’ liability to shareholders within South Africa’s common and statutory law, bearing in mind entrenched legal principles, such as the argument that fiduciary duties are duties owed to the company and not to individual shareholders; and that as a result only the company can impose liability on its directors.

The company developed through an evolutionary process. Our conceptualization of the company and its position in law is determined by our philosophical approach to justice (our underlying system of belief), the resultant theory of law that we adopt and the underlying economic, political and social environment in which the company operates. Three broad philosophical approaches to justice are identified in this study. The first revolves around the idea of maximizing welfare, the second around the idea of respecting freedom and the third approach sees justice as bound up with virtue and the good life. It is argued in this thesis that we cannot detach arguments about justice and rights from arguments about virtue and the good life. It is not possible to devise a grand theory of the nature of the company. But from a normative perspective the communitarian theory and arguably the concession theory (more particularly the dual concession theory of Dine) is the most acceptable theory of the nature of the company. The real entity theory, as articulated by Dodd, is the preferred theory of the corporate personhood of the company. A company, especially a large company, is a public or quasi-public entity and a corporate citizen that should have the same legal, social and moral rights and responsibilities as a natural person. From a normative perspective the entity maximization and sustainability model (EMS model) and the stakeholder model are the most attractive models of corporate governance. It is generally accepted that the ultimate purpose of the company must be to serve society. Subject to this ultimate and supreme objective, the corporate objective on a narrower level must be to maximize and sustain the company as a separate legal entity. The aforesaid conceptualization of the company corresponds with the normative value system that underpins the Constitution of the Republic of South Africa, 1996 (the Constitution), and therefore also the Companies Act 71 of 2008 (the Companies Act of 2008). The Constitution encompasses a social democratic vision for South Africa in which commercial autonomy must be tempered by virtue, dignity and social and economic equality. The Companies Act of 2008 gives express recognition to bring company law within our constitutional framework. There has been a fundamental paradigm shift in the normative value system that underpins our company law since liberalism and laissez-faire reigned supreme in the eighteenth and nineteenth century Great Britain, from which country our company law originates. The underlying philosophy and approach of our company law is now more aligned with that of Canada. This also has an important effect on the rights, protections and remedies of creditors and employees of the company.

Com o propósito de conceituar a natureza da relação jurídica entre o administrador e as sociedades anônimas, expõem-se, inicialmente, os centros institucionalizados de poder, suas formas de estruturação e funções desenvolvidas na companhia. Delimita-se, então, a quais desses núcleos de poder as atividades de direção, execução e supervisão ordinárias da atividade corporativa foram atribuídas pela Lei. Caracterizado o administrador, aprecia-se a qualidade na qual este age e produz determinados efeitos com seu comportamento. Para a definição dessa posição ocupada na companhia, afere-se a natureza da atribuição da personalidade jurídica ao ente coletivo e sua independência em face dos membros subjacentes. O vínculo criador dessa posição jurídica, entretanto, não possui fundamento teórico uníssono da doutrina estrangeira, tampouco é consenso entre os doutrinadores brasileiros. Aprecia-se, assim, a adequação dos principais argumentos de cada teoria frente ao ordenamento jurídico pátrio mediante a abordagem dos elementos estruturais do ato de preenchimento de órgão. A modalidade do referido ato é definida pela análise da natureza da eleição, mediante a apreciação da deliberação dos órgãos legitimados, da possibilidade de manifestar a vontade social diretamente a terceiros e de produzir efeitos determinados com autonomia, bem como da função integradora da aceitação, como condição de existência de um negócio jurídico bilateral ou de eficácia de um negócio jurídico unilateral. Por fim, confrontam-se as principais características dessa relação jurídica aos contratos de mandato, de prestação de serviço e de trabalho para possibilitar a verificação de sua adequação típica e a definição de um conceito ao ato de preenchimento de órgão de administração das sociedades anônimas.
Aiming to create the concepts for the nature of the juridical relation between the officer and the joint-stock companies, this work initially exposes the institutionalized power centers, their structures composition and roles developed in the company. In the sequence, the essay outlines to which of those power nuclei the Law has ascribed the ordinary activities of direction, performance and supervision of the corporate activity. After the officer is characterized, the work analyzes the quality under which such officer acts and produces certain effects on his/her behavior. To define such position held with the company, it is verified the nature of the assigning the legal personality to the collective entity and its independence towards the underlying members. The bond creating such legal position, however, does not have unified theoretical ground in the foreign doctrine and neither is it a consensus among the Brazilian teachers. Hence, adequacy of each theorys main arguments is assessed against the countrys legal system by addressing the structural elements in the act of fulfilling the body. Modality of such act is defined by analysing the nature of the election, assessing deliberation of the empowered bodies, the possibility of manifesting the social will directly to third parties and to produce certain effects in autonomous manner, as well as the integration roles of the acceptance as a condition for existence of a bilateral juristic act or condition for efficacy of an unilateral juristic act. Finally the main characteristics of such legal relation are confronted with the power-ofattorney, service rendering and employment agreements to enable verification of their typical adequacy and definition of a concept to the act of fulfilling the administration body of the joint-stock companies.

Mine land reclamation techniques were tested in arid Southeast Arizona for their potential to enhance reclamation success on two sites at different elevations (1400- and 1650-meters above sea level) on two sandy loam soils (Arkose and Gila Conglomerate). Seedbed preparation (smooth or rough surface) and straw mulch treatments (surface mulch, mulch incorporated into the soil, or no mulch) were tested for their potential to establish vegetation and prevent erosion. Gila soil retained 12.9% more soil moisture than the Arkose soil and was preferred by the seed mix (Gila: 64.4 plants m⁻²; Arkose: 23.2 plants m⁻²). A rough surface with surface mulch was recommended. Gila soil was more susceptible to erosion likely because it contained smaller soil particles. Rock cover was associated with significantly (P=0.0138) reduced rate of soil movement (0.1588 cm soil loss or accumulation per 1 percent rock cover). Proper soil management can be critical for reclamation success.

The functions of modern organizations continually pressure the natural environment. Although the concept of sustainability has been widely accepted in the business world, environmental problems, rather than disappearing, still linger and even deteriorate. The problems reside in the organization-natural environment relationship. Understanding this relationship is key for addressing contemporary environmental problems. This dissertation is a study of the organization-natural environment relationship. Specially, the dissertation focuses on the case of Ford Motor Company (FMC), and through a study on FMC's communication of sustainability, the dissertation analyzes, defines, evaluates, and attempts to theorize the organization-natural environment relationship. The dissertation reviews organizational theories as well as other theories within the communication studies discipline pertaining to the organization-natural environment relationship. Why the topic of natural environment has been downplayed in communication studies literature is discussed, and the dissertation also reviews emerging studies on the organization-environment relationship from the perspective of various sub-disciplines of communication studies, namely, environmental communication, business communication, and public relations. The review of literature revealed a lack of theorizing of the organization-natural environment relationship, although specific environmental issues, along with their social context, are examined in the reviewed studies. The theoretical framework for the dissertation is based in organizational communication theory; therefore, the development of organizational communication theory is reviewed, and a critical approach of organizational communication was selected as the theoretical position of this dissertation. Following previous research on the organization-natural environment relationship, the dissertation adopts rhetorical criticism, and particularly uses cluster analysis/criticism as the research method. The use of cluster analysis helps to explain the meanings of FMC's discourse of sustainability and to further define, analyze, evaluate, and theorize the company's relationship to the natural environment. To achieve the goal, an overarching research question was proposed: How is the FMC-natural environment relationship reflected and constituted in FMC's discourse on sustainability? And to answer the overarching question, five detailed research questions were posed. RQ1: What are the key terms and clusters that the FMC uses on sustainability? RQ2: How does the FMC use these terms and clusters in relation to sustainability? RQ3: Does the FMC's discourse on sustainability seem reactive or proactive? RQ4: What are the implications of those meanings for the company's relationship with the natural environment? RQ5: How can we theorize this relationship within organizational communication? Data collected were primarily from FMC's annual sustainability reports over the 10 years examined (2002/03 - 2012/13). Data also comprised four published interview reports on the chairman, Bill Ford, one published commentary from Bill Ford, three documentary films on Ford, and a video clip of Ford's director of sustainability John Viera's discussion on sustainability. The research findings focused on the selection of key terms and their clusters as well as on the explanation of the relationship between key terms and their clusters. Seven key terms, namely, sustainability, environment, technology, commitment, fuel, emission, and climate change, were identified from the analyzed texts. Clusters were charted, and were assigned to classified themes, like "business," "profitability," "market," "environment," "efficiency," and "importance." Analysis of the relationship between key terms and their clusters showed that the key terms have different layers of meanings, ranging in a continuum from FMC's business to its environmental sustainability, although more clusters, both in intensity and frequency, were themed toward the company's business, indicating the company's heavier emphasis on its business rather than on environmental sustainability. The key terms and their clusters, therefore, confirmed the meanings of sustainability reviewed in the literature. The meanings are always ambiguous, complex, vague, and flexible, and are mixed with connotations between FMC's business growth and environmental concerns. The company was proactive in terms of addressing the environmental issues because the company emphasized internal control and plans rather than just passively reacting to environmental problems. In terms of the company's relationship with the natural environment, cluster analysis showed a rather slippery definition. The relationship described in the sustainability lacks clarity, but is layered in different meanings. Specifically, three metaphors, relationship as a responsibility, relationship as an opportunity, and relationship as a journey, were proposed to describe the relationship. The dissertation concluded that the two-layer meaning of sustainability, showing a co-existing relationship between the two layers of environmental sustainability and business profitability, could enrich a better understanding of the organization-natural environment relationship. An organizational communication theory of sustainability, based on the two-layer framework and developed from critical organizational communication theories, is proposed, and future research can study how the interactions and conflicts of two-layered meanings between environmental sustainability and business profitability constituted in the discourse of different organization could further such a theory.

Private individuals can voluntarily buy EU Allowances (EUA) in order to remove them from the European Union Greenhouse Gas Emission Trading System (EU ETS). It leads to progressive reduction of total carbon dioxide emissions in Europe. Kalmar Energi offers customers to obtain one EUA (equivalent to one ton of CO2) per year by paying 25 SEK a month as a KlimatEl-supplement. The purpose of this research is to examine the customers’ attitudes in the issue of climate compensation and trying to define the reasons behind their choices.

The results of the quantitative questionnaire were analyzed by using descriptive and analytical statistical methods and have shown some correlation between customers’ ages and decisions to accept or not the offer of KlimatEl. The gender and attitudes about everyday environmentally friendly behavior allows us to segment this group. The strongest motivation for investment in KlimatEl appeared to be awareness of the negative consequences caused by climate changes and the feeling of threat to human health and welfare. The main reasons to decline the offer of KlimatEl is skepticism about the system of emissions trading, distrust of the efficiency of this act and also a lack of confidence in the energy company.

Knowledge of carbon offsetting is surprisingly weak among KlimatEl customers. Their willingness to do something morally right and to support the energy company explains their commitment more than their knowledge of the ecological impact of this act or desire to be a part of the green trend. The result of this research shows the need for efficient information building a correct and positive perception of KlimatEl as a product and even of Kalmar Energy’s environmental work.

La personnalite morale est frappee, en droits francais et quebecois, par un morcellement du concept. D'un cote, elle n'apparait plus une condition a l'efficacite de l'action collective; de l'autre, elle,-qui se voulait traditionnellement la representation des interets d'une pluralite de personnes-, se voit aujourd'hui reconnue a de simples techniques de representation collective ou encore a des affectations de biens. Ce constat commun effectue sur les insuffisances du concept de personnalite morale a constitue le point culminant dans l'orientation de cette these. Il aura conduit a remettre en question, d'une part, les fondements memes de la personnalite morale et, d'autre part, la theorie classique de l'unite patrimoniale, sans qui la personnalite morale n'aurait pas connu un tel essor. Une nouvelle analyse du concept a donc ete necessaire. La personnalite morale n'est ainsi ni une fiction, ni une realite, mais simplement la technique juridique employee par le legislateur pour designer la qualite de sujet de droit des entites autres que les personnes physiques. Cette definition acceptee, il devenait imperieux de se tourner vers d'autres notions pour expliquer la nature des societes quebecoises. L'ouverture du nouveau code a la theorie du patrimoine d'affectation offrait une alternative interessante. Si le fondement du patrimoine autonome des societes ne pouvait plus resider dans la personnalite morale, l'affectation patrimoniale pouvait tres bien l'expliquer. Cette conception avait, en fait, plusieurs avantages: elle permettait de resoudre le paradoxe de la societe de personnes, tout en maintenant l'unite de la personnalite morale; elle engendrait, de plus, une reconciliation du droit positif avec l'histoire en confirmant l'anomalie historique dans la determination de la nature juridique de la societe
In the french and the quebec systems of law, legal personality is characterized by a cleavage in the concept. On the one hand, it appears to be more of a condition to ensure the efficiency of group actions, while on the other - traditionally the representation of interests of more than one person - it has become recognized as mere techniques for group representation or of assignments of assets. This common observation made of the insufficiencies of the concept underlying legal personality constituted the culminating point in the orientation of this thesis. It has led to first questioning the very basis of legal personality and second, the classical theory of patrimonial unity, without which legal personality would not have undergone such development. Thus, a fresh analysis of the concept is now in order. Legal personality is neither a fiction nor a reality, but simply the juridical technique used by the legislator to designate entities other than natural persons that may be recognized as subjects of rights once this definition received acceptance, it became necessary to turn to other concepts in order to explain the nature of quebec partnerships. The introduction into the new civilcode of the theory of patrimony by appropriation provided an interesting alternative. If the basis of an autonomous patrimony of associations could no longer reside in legal personality, then the concept of patrimony by appropriation could explain it adequately. This approach provided, in fact, several advantages : it made it possible to resolve the paradox underlying partnerships while maintaining the unity of the legal person. Furthermore, it brought about a reconciliation of positive law with historical precedent by confirming the historie abnormality in determining the juridical nature of partnerships

The current linear “take, make and dispose” economic model is not sustainable, therefore we need to move towards a circular economy. The society faces a major challenge and as experts and advisors to the society, the consultancy companies play a key role in the transition. The purpose of this study was to investigate how a consultancy company work with the circular economy concept today and how the concept further can be integrated into the company to meet future challenges. Qualitative interviews with eleven representatives from the consultancy company Ramboll were made. All the interviews were recorded and the collected data was analyzed in a qualitative analysis. The results showed a high awareness of the circular economy concept and that Ramboll can offer customers help in their progress towards a circular economy. The demand of circular services is currently low but it will probably increase in the future, both with respect to existing services but also new types of assignments.To meet the future demand the company needs to ensure knowledge within the company, raise awareness and concretize the concept throughout the company. The Nordic countries have an opportunity to be the forerunner in the transition to a circular economy but to do so, one must focus on the issue. If Sweden seriously starts to strive for a circular economy, much help and support will be needed and the consulting companies can be very helpful if they are prepared and have the competence.

Aboriginal groups across Canada are looking for new ways to improve the living conditions of their people. Coast Tsimshian Resources LP is a forest company that is collectively owned by the Lax Kw'alaams band, a traditional fishing community in northern British Columbia. This research investigates the collectively-owned company as a possible creative means toward development, but in the process uncovers the significance of community 'embeddedness' in shaping development outcomes. Data was collected primarily through semi-structured and informal interviews with respondents from the community and company, among others. Interviews revealed the problem of a disconnection between the community and company. Through a New Institutional Analysis, which pays particular attention to context, the possible reasons for the disconnect are explored, and community 'embeddedness' is presented as a way of understanding it. Fishing is identified as a culturally salient practice and serves as a point of comparison to explain the lack of participation in the company's forestry activities. Suggestions for ways the company can work within this 'embeddedness' to ameliorate the disconnect are provided, and an elevated appreciation of the "sub-institutional elements" within New Institutional theory is suggested. Finally, the community-owned company is evaluated in terms of its ability to meet the development goals and visions of the Lax Kw'alaams band and First Nations in Canada.

La loi n’a pas défini d’une manière explicite la notion du dirigeant de société. Afin d’identifier les personnes au sein de la société ayant la qualité du dirigeant de société, la doctrine et la jurisprudence se sont saisis de la question, et deux critères d’identification sont adoptés, à savoir l’exercice de deux pouvoirs de gestion et de représentation dans la société. Ces deux critères permettent également de distinguer la notion du dirigeant de société de quelques notions voisine à l’image du chef d’entreprise et de l’employeur.Le mutisme législatif quant à la définition de la notion du dirigeant de société exclut l’existence d’un véritable statut juridique unitaire du dirigeant de société, alors qu'au contraire, il en existe une pluralité de statuts en raison de la différence de traitement réservé par la loi aux dirigeants de sociétés de formes sociales différentes. Pour appréhender la condition du dirigeant de société, la doctrine et la jurisprudence ont procédé à la qualification du lien unissant le dirigeant et la société qu’il dirige. Ainsi, l’évolution du statut de dirigeant de société se trouvait au centre d’une évolution globale du droit des sociétés. En effet, le dirigeant de société est considéré pendant plus d’un siècle comme mandataire de la société, en raison de l’analyse contractualiste de la société, pour être ensuite qualifié d’organe de la société, suite à l’essor de la théorie institutionnaliste de la société. Cependant, ces analyses si elles permettent dans une large mesure d’appréhender la condition du dirigeant de société, elles empêchent une analyse objective et unitaire de la condition du dirigeant de société. Ainsi, une nouvelle acception développée en doctrine appuyée par la jurisprudence analyse la condition du dirigeant de société à partir de la spécificité de ses fonctions, en qualifiant le dirigeant de société d’un véritable professionnel.À l’instar de la question du statut juridique du dirigeant de société, la nature de sa responsabilité civile a suscité une controverse en doctrine, entretenue par la jurisprudence qui n’a pas tranché la question d’une manière péremptoire. En effet, si pour les tenants de la théorie dirigeant-mandataire la responsabilité civile du dirigeant de société envers la société et les associés est de nature contractuelle, les tenants de la théorie de l’organe qui nient tout lien contractuel entre le dirigeant et la société ou les associés qualifient cette responsabilité de délictuelle. Cependant, la professionnalisation des fonctions sociales a conduit à l’adoption d’un régime de responsabilité typique, qui prend en considération la spécificité des fonctions du dirigeant de société. Ainsi, la responsabilité du dirigeant de société ne peut être qualifiée que de professionnelle.La spécificité de la responsabilité civile des dirigeants de société, se manifeste également dans ses fonctions. En effet, si traditionnellement la responsabilité civile a comme objectif principal l’indemnisation des victimes d’actes dommageables. La responsabilité civile des dirigeants de société, joue un triple rôle. Elle assure en premier lieu l’indemnisation des victimes d’actes dommageables des dirigeants de société (la fonction réparatrice), mais elle sanctionne également les comportements fautifs du dirigeant de société (la fonction répressive), tout en définissant en négative les normes de comportement auxquelles les dirigeants de sociétés sont astreints (la fonction normative)
The law has not provided an accurate definition of the notion of a company manager. In an attempt to determine who within the company has the status of company manager, doctrine and case law have tackled the issue, and two criteria for such determination have been adopted, namely the performance of two powers of management and representation in the company. These two criteria also allow us to distinguish the concept of the company manager from a few related concepts such as the head of the company and the employer.The legislative vacuum regarding the definition of the notion of company manager excludes the existence of a true unified legal status of the company manager, whereas, on the contrary, there is a plurality of statutes due to the different treatment reserved by law for managers of companies of different corporate forms. In an attempt to assess the status of the company manager, the doctrine and case law have defined the link between the manager and the company he or she manages. Thus, the development of the status of the company manager was at the heart of an overall development in company law. Indeed, for more than a century, the company manager has been considered as the company's representative, due to the contractual analysis of the company, before being qualified as a company body, following the development of the institutionalist theory of the company. However, although these analyses enable the condition of company managers to be assessed to a large extent, they prevent an objective and unified analysis of the condition of company managers. Thus, a new concept has been developed in doctrine and endorsed by case law examines the status of the company manager on the basis of the specific nature of his or her functions, by describing the company manager as a true professional.As with the issue of the legal status of the company manager, the nature of his or her civil liability has been the subject of controversy in doctrine, sustained by case law that has not settled the issue conclusively. Indeed, while for the proponents of the director-representative theory, the civil liability of the company manager towards the company and the partners is contractual in nature, the proponents of the body theory, who deny any contractual link between the manager and the company or the partners, qualify this liability as tortious. However, the professionalization of corporate functions has led to the adoption of a typical liability regime, which considers the specific nature of the functions of the company manager. Thus, the liability of the company manager can only be referred to as professional.The specific nature of the civil liability of company manager is also apparent in his or her functions. Indeed, while conventionally civil liability has as its main objective the compensation of victims of harmful acts. The civil liability of a company manager fulfils a triple role. In the first instance, it provides compensation to victims of harmful acts committed by the company manager (the reparative function), but it also sanctions the wrongful behavior of the company manager (the repressive function), while defining in negative terms the standards of behavior to which the company manager is bound (the normative function)

Companies do not exist in isolation. They are embedded in structural relationships with each other. Mapping a given company’s relationships with other companies in terms of competitors, subsidiaries, suppliers, and customers are key to understanding a company’s major risk factors and opportunities. Conventionally, obtaining and staying up to date with this key knowledge was achieved by reading financial news and reports by highly skilled manual labor like a financial analyst. However, with the development of Natural Language Processing (NLP) and graph databases, it is now possible to systematically extract and store structured information from unstructured data sources. The current go-to method to effectively extract information uses supervised machine learning models, which require a large amount of labeled training data. The data labeling process is usually time-consuming and hard to get in a domain-specific area. This project explores an approach to construct a company domain-specific Knowledge Graph (KG) that contains company-related entities and relationships from the U.S. Securities and Exchange Commission (SEC) 10-K filings by combining a pre-trained general NLP with rule-based patterns in Named Entity Recognition (NER) and Relation Extraction (RE). This approach eliminates the time-consuming data-labeling task in the statistical approach, and by evaluating ten 10-k filings, the model has the overall Recall of 53.6%, Precision of 75.7%, and the F1-score of 62.8%. The result shows it is possible to extract company information using the hybrid methods, which does not require a large amount of labeled training data. However, the project requires the time-consuming process of finding lexical patterns from sentences to extract company-related entities and relationships.

Att kartlägga ett visst företags relationer med andra företag när det gäller konkurrenter, dotterbolag, leverantörer och kunder är nyckeln till att förstå företagets huvudsakliga riskfaktorer och möjligheter. Det konventionella sättet att hålla sig uppdaterad med denna viktiga kunskap var genom att läsa ekonomiska nyheter och rapporter från högkvalificerad manuell arbetskraft som till exempel en finansanalytiker. Men med utvecklingen av ”Natural Language Processing” (NLP) och grafdatabaser är det nu möjligt att systematiskt extrahera och lagra strukturerad information från ostrukturerade datakällor. Den nuvarande metoden för att effektivt extrahera information använder övervakade maskininlärningsmodeller som kräver en stor mängd märkta träningsdata. Datamärkningsprocessen är vanligtvis tidskrävande och svår att få i ett domänspecifikt område. Detta projekt utforskar ett tillvägagångssätt för att konstruera en företagsdomänspecifikt ”Knowledge Graph” (KG) som innehåller företagsrelaterade enheter och relationer från SEC 10-K-arkivering genom att kombinera en i förväg tränad allmän NLP med regelbaserade mönster i ”Named Entity Recognition” (NER) och ”Relation Extraction” (RE). FUNDAÇÃO DE APOIO À PESQUISA DO ESTADO DO RIO DE JANEIRO
A humanidade está testemunhando e experimentando os efeitos da degradação do ambiente natural, em escala e escopo sem precedentes na sua história, o que vem provocando crescente inquietação com a qualidade e o futuro do meio-ambiente diante da perda da biodiversidade e da transformação irrecuperável de ambientes naturais. A pesquisa analisa a estratégia de internacionalização e o uso sustentável da biodiversidade como um diferencial adotado nesse processo por uma empresa brasileira - a Natura - que vem crescendo e tendo destaque internacional além de ser reconhecida pela sua responsabilidade social e ambiental. A interpretação dos dados foi feita com base no referencial teórico, fundamentado na revisão de literatura, utilizando o modelo Genérico Integrativo (GI) de Macedo-Soares (2000). Foi adotada, para a análise do estudo de caso, a estratégia de triangulação de métodos, portanto as informações foram coletadas por meio de investigação documental, de levantamento de percepções por meio de entrevistas com formulário estruturado e de levantamento complementar por meio de entrevistas com roteiro guiado. Por meio dos resultados obtidos evidenciamos que a empresa, ao contrário da maioria, não adota alianças em seu processo de internacionalização. A Natura acredita quem tem mais a perder com uma parceria mal realizada do que fazendo investimento próprio em novos países. Outra evidência importante está no fato de que, embora a empresa possua como estratégia de negócio bem sucedida no Brasil a venda direta, durante seu processo de internacionalização para a Europa precisou repensar essa estratégia empresarial para ter sucesso naquele mercado. Isso foi feito, porque a Europa é, sem dúvida, um excelente mercado consumidor para empresas preocupadas com o uso sustentável da biodiversidade.
The mankind is witnessing and suffering the consequences of the environment degradation, in scale and scope never seen in history. However, there is a growing concern regarding the quality and the future of the environment due to the loss of biodiversity and the definitive changes in Nature. The present research analyzes the strategy of internationalization and sustainable use of biodiversity as a competitive advantage of a Brazilian company, Natura, which has sustained a steady growth pace. Natura is well recognized also for its corporate social and environmental responsibility. The data interpretation found in this study was based on the theoretical references from the literature review, using Macedo-Soares` (2000) systemic and integrative model for strategic assessment. Following that, a strategic triangulation of methods was adopted in order to analyze the case study. The information was collected by documental investigation, perception with surveys and complementary data with guided interviews. Through the results obtained we concluded that the company, as opposed to many other companies, does not adopt alliances in the internalization process. Natura believes that the company has more to risk by choosing a bad partner than using its own capital to start business in other countries. Another important point is that although the company is very well succeeded in Brazil with direct sales, a new strategy had to be implemented in Europe to succeed in the European market. Without any doubt Europe is an excellent market for companies oriented towards sustained used of biodiversity.

Le contrat, traditionnellement le temple de la bilatéralité, subit depuis de nombreuses années l’influence d’un mouvement insufflant davantage d’unilatéralisme à son contenu. L’acceptation de cet unilatéralisme, contemporaine de la revalorisation de l’individu au sein de la société, a eu lieu de manière graduelle. Initialement confiné à des clauses périphériques, l’unilatéralisme a pris une place de plus en plus importante jusqu’à gagner le cœur des échanges entre les parties. La diversification du modèle contractuel, fondé au départ exclusivement sur l’échange établi sur la vente et englobant aujourd’hui d’autres opérations économiques obéissant notamment à une logique de coopération, apparaît comme essentielle à la compréhension de cette évolution. La logique sous-jacente à l’opération économique du contrat, un échange ou une coopération, guidera la compréhension des limites de l’unilatéralisme au sein de l’instrument contractuel.Une fois l’unilatéralisme admis au cœur des échanges, les limites du pouvoir unilatéral restent à définir. La mise en œuvre de l’unilatéralisme nécessite un encadrement rigoureux afin d’éviter tout débordement et notamment l’abus dans l’utilisation des prérogatives contractuelles unilatérales. Certains mécanismes ont été prévus par le législateur afin de contrôler la mise en œuvre de l’unilatéralisme. C’est le cas notamment de l’obligation de motivation. D’autres outils, inspirés notamment du droit brésilien, pourraient contribuer au renforcement de ce contrôle. L’évolution du droit des contrats, le travail de la doctrine et de la jurisprudence détermineront les limites de l’unilatéralisme reconnu par le législateur
The contract, an institution usually endorsed by at least two people, has now undergone for many years the influence of a movement instilling more of what French authors call unilatéralisme, meaning more unilateral powers to only one of the contractors. The influence of unilatéralisme over the contract, contemporary to the more and more significant place of the individual in society, took place gradually. Initially confined to peripheral clauses of the contract such as termination clauses, unilateralism took an increasingly important place until it reached the very heart of the exchanges between the parties. The diversification of the economic model of the contract, which was initially based on the exchange established by the sale of goods and which encompasses today other economic operations based on the cooperation between the parties, is essential to understand this evolution. The logic underlying the economic operation of the contract, an exchange or a cooperation, will guide the understanding of the limits of the unilateralism.Once unilateralism has been accepted at the heart of the exchanges, the limits of the unilateral power remain to be defined. The enforcement of unilateral powers requires a rigorous framework to avoid any misuse and abuse of the unilateral power. The legislator provided a few mechanisms to perform this control of the use of unilateral powers, for example the duty to give reasons. Other tools, inspired by Brazilian law, could also contribute to strengthening this control. Tradicionalmente visto como o “templo da bilateralidade”, o contrato vem sofrendo nos últimos anos a influência de um movimento de valorização das chamadas prerrogativas unilaterais. A aceitação da influência do que a doutrina francesa convencionou chamar de “unilatéralisme” encontra eco na valorização recente do indivíduo dentro da sociedade, característica do pós-modernismo. Se, inicialmente, a influência das prerrogativas individuais só podia ser observada em cláusulas ditas “marginais” do contrato, como as cláusulas resolutivas, hoje as prerrogativas unilaterais fazem parte também do conteúdo central do instrumento contratual. O aumento da importância das prerrogativas unilaterais pode ser explicado pelo movimento da “diversificação” do modelo contratual. Inicialmente visto como tão somente uma troca entre os contratantes, como o que ocorre no contrato de compra e venda, o contrato hoje deve levar em conta diversas outras operações econômicas, muitas vezes numa lógica de cooperação entre as partes (distribuição, franquia, entre outros). No entanto, a multiplicação desse tipo de cláusula apresenta um risco para o equilíbrio contratual. Sem um controle rigoroso, a execução dessas cláusulas pode dar margem a abuso. Assim, a presente tese propõe alguns limites para as cláusulas que conferem um poder unilateral, evitando o abuso no uso das mesmas. Alguns dos mecanismos de controle são diretamente inspirados do direito brasileiro. Outros, fazem parte da realidade contratual do direito francês. Os verdadeiros limites dessas cláusulas serão estabelecidos pela evolução do direito dos contratos e pela influência da doutrina e da jurisprudência

Анотація:
This essay examines the communication in English and use of English at a Swedish company with employees from all over the world. The aim is to investigate how the employees experience speaking English with their colleagues and if they believe that misunderstandings can occur owing to their language differences.  The linguistic focus of this study is towards sociolinguistics, including lingua franca, language use and communication as well as a small portion of language acquisition, considering that the majority of employees do not speak English as their native language.   The results of the study have shown that all employees at the company speak English daily, but the experiences and opinions of it vary, mostly depending on which department they work in and what kind of education they have had previous to them working at the company.

With globalisation and global warming threats, natural disasters happen at a faster rate, and their impact is drastically more prominent than before. In this thesis, we investigate the actions the organisation Newtech performed in three post-natural disaster environments to enter the markets and benefit from them. By analysing the key actions an organisation can take in order to be more likely to benefit in a post-natural disaster market, the intention is to make more ventures aware of this tappable market and how to profit from entering it. This research uses a one case study to investigate the nuanced perspective of a venture that has, on multiple occasions, entered post-natural disaster markets and what key actions performed. From evaluating pre-existing literature and patterns spotted in the empirical data collected through interviews with the organisation, there appeared five key actions for non-local ventures that strive to enter a post-natural disaster market. The actions discovered by this thesis are (1) spot the opportunity, (2) investigate the environment of the market pre-arrival,  (3) prepare based on the investigation, (4) continuously observe the market, (5) make adaptions if necessary.

O objetivo principal é analisar a interação Universidade-Empresa da UFRGS, contemplada na política de desenvolvimento e inovação tecnológica, sob responsabilidade da Secretaria de Desenvolvimento Tecnológico – SEDETEC. Os objetivos específicos foram apresentados em três artigos, sendo eles: artigo 1 - identificar as demandas de qualidade no processo de interação entre a UFRGS e empresas parceiras e propor melhorias para este processo; artigo 2 - descrever as modalidades de interação e apresentar o fluxo da formalização do processo de interação da Universidade Federal do Rio Grande do Sul (UFRGS) com as Empresas, realizado através de projetos conjuntos; e artigo 3 - analisar o impacto promovido por projetos de interação entre a UFRGS e a PETROBRAS, fomentados por fundos setoriais e incentivos governamentais. O estudo de caso foi o procedimento metodológico adotado para a realização do trabalho. Como resultado obteve-se uma visão integrada do processo de interação entre a UFRGS e empresas. No artigo 1, foram identificadas as principais qualidades demandadas por empresas no processo de interação e foi realizado o desdobramento em requisitos da qualidade para a fase de formalização da interação. A partir dos desdobramentos destas demandas e a identificação dos principais procedimentos priorizados, foram apresentadas diretrizes de melhoria para a SEDETEC. O artigo 2 descreveu as modalidades de interação e apresentou o fluxo da formalização do processo de interação. Foram apresentadas as duas modalidades de projetos de interação, que pode ser via prestação de serviços e ações de parceria; os respectivos tipos de instrumentos jurídicos; e legislações e normativas pertinentes. No artigo 3, foi analisado o impacto promovido por projetos de interação entre a UFRGS e a PETROBRAS, fomentados por fundos setoriais e incentivos governamentais. Verificaram-se os resultados dos projetos, considerando os impactos científicos, tecnológicos e estratégicos tanto para a UFRGS como para a PETROBRAS. Por fim, há recomendações de trabalhos futuros.
The dissertation approaches the interaction University-company in the extent of the Federal University of Rio Grande do Sul - UFRGS. The main objective is to analyze the interaction University-company of UFRGS, meditated in the development politics and technological innovation, under responsibility of Secretariat of Technological Development-SEDETEC. The specific objectives were presented in three articles, being them: article 1-to identify the quality demands in the interaction process between UFRGS and companies partners and to propose improvements for this process; article 2-to describe the interaction modalities and to present the flow of the formalization of the process of interactions of the Federal University of Rio Grande do Sul (UFRGS) with the Companies, accomplished through united projects; and article 3-to analyze the impact promoted by interaction projects between UFRGS and PETROBRAS, fomented by sector bottoms and government incentives. The case study was the methodological procedure adopted for the accomplishment of the work. As result was obtained an integrated vision of the interaction process between UFRGS and companies. In the article 1 they were identified the main qualities disputed by the companies in the interaction process and the unfolding was accomplished in requirements of the quality for the phase of formalization of the interaction starting from the unfolding of these demands and the identification of the main prioritized procedures, improvement guidelines were presented for SEDETEC. The article 2 described the interaction modalities and it presented the flow of the formalization of the interaction process. The two modalities of interaction projects were presented, that can be through services rendered and partnership actions; the respective types of juridical instruments; and legislations and pertinent normative. In article 3, it was analyzed the impact promoted by interaction projects between UFRGS and PETROBRAS, fomented by sector bottoms and government incentives. The results of the projects were verified, considering the scientific, technological and strategic impacts so much for UFRGS as for PETROBRAS. Finally, there are recommendations of future works.

In this dissertation, the examination of energy sector development is presented. The purpose is to understand and highlight the importance of financing access for innovation activities, along with the business transparency necessary for firm value and the impact of corruption on capital investments in energy companies. Globally, long-term energy confidence is dependent on energy security and supply. Based on our empirical estimations, we expect there to be an increasing need for understanding financing innovations in the European energy industry. We expect more support for corporate governance integrity within Russia, as Russia is the main energy supplier for the European energy sector. It is expected that corruption will be a dominant issue for countries that are rich in natural resources. The main empirical findings and concluding comments are as follows:  The EU energy sector requires substantial financial support for promoting innovations, especially among ‘younger’ energy companies and those in the newest EU countries.  We expect to see increased discussion and long-term development of corporate governance integrity (transparency and disclosure, in particular) among Russian energy firms based on the long-term investment attractiveness of sustained energy production and supplies to countries that are energy dependent.  We conclude that investment activities in natural resource exploitation are directly linked with the presence of corruption, and that tightening up on corruption should facilitate FDI (foreign direct investment) in the primary industry and enable the effective use of received natural resource gains. To summarise, in this assessment, we empirically studied the EU, Russian and global energy industries, focusing on the issue of the development of energy within three key areas: the examination of financing for innovation, corporate governance integrity and corruption within primary FDI inflows.

This master thesis deals with the enterprise transfer of business individuals (individual entrepreneurs) to a limited liability company. Attention is focused mainly on the the legal accuracy of individual terms of this issue, accounting and tax context and comparison of the transfer options. The aim of this work is to analyze the whole process of the enterprise transfer of an individual entrepreneur to a limited liability company in two levels, since the work analyzes in detail the different aspects of two of the three transfer methods - the sale of the enterprise and the contribution of the enterprise. In order to compare both options carefully, it was necessary to study the legal, accounting and tax circumstances of both. At the very beginning of the work there are also stated the basic concepts that are linked to the topic and that will appear very often later. There is also a comparison of both legal forms and consideration of the reasons that may lead the entrepreneurs to the enterprise transfer. The final chapter reflects the practical context, the contribution of the enterprise, since it analyzes the transfer agreements in the reporting period 2012 - 2016.

No obstant això, la literatura sobre sostenibilitat i gestió ha prestat poca atenció a com l'entorn natural afecta les organitzacions i les seves operacions. Un punt de vista emergent en la literatura sobre sostenibilitat retrata les organitzacions com incorporades a la natura i permet una mirada més profunda a les interrelacions locals entre les organitzacions i l'entorn natural que les envolta. Aquesta tesi doctoral adopta aquesta perspectiva per comprendre millor com les organitzacions i els seus membres entenen i interpreten l'entorn natural en què estan immerses, i com aquestes interpretacions donen forma a les pràctiques organitzatives. Per a això, s'apliquen metodologies d'investigació qualitatives i quantitatives per examinar fins a quin punt i com l'experiència directa dels fenòmens naturals, com els efectes del canvi climàtic o les catàstrofes naturals, afecta les respostes i resultats de les organitzacions. Un primer estudi de mètodes mixtes sobre productors de cacau al Brasil explora com els responsables de la presa de decisions en contextos vulnerables experimenten les conseqüències del canvi climàtic i com els seus diferents interpretacions donen forma a les respostes adaptatives organitzatives. Aquest estudi se centra en les respostes organitzatives immediates als fenòmens naturals adversos. Un segon estudi investiga empíricament els efectes a llarg termini de l'experiència dels fenòmens naturals en els resultats organitzatius. Basant-se en l'anàlisi de dades quantitatives sobre empreses japoneses en el context del Gran Terratrèmol de l'Est del Japó, aquest estudi proposa el concepte de creixement posttraumàtic organitzatiu per captar el canvi emergent en els valors organitzatius i la capacitat de resposta a les necessitats socials després del desastre natural. Aquests estudis se centren en les interrelacions locals entre les organitzacions i l'entorn natural en què estan immerses. Si bé aquest enfocament contribueix a la creixent literatura sobre les organitzacions i l'entorn natural, també implica el risc de perdre en la infinitat d'especificitats i interpretacions que caracteritzen a cada context i que s'han d'integrar amb l'escala global de les qüestions de sostenibilitat. Conciliar l'escala local i la global, necessàries per abordar aquests reptes de sostenibilitat, no és gens trivial. Per això, un tercer estudi pretén fer una contribució teòrica a les tensions que sorgeixen entre l'aplicació local de pràctiques sostenibles i la necessitat de coordinació global en el context de les normes voluntàries de sostenibilitat. Esta tesis doctoral adopta esta perspectiva para comprender mejor cómo las organizaciones y sus miembros entienden e interpretan el entorno natural en el que están inmersas, y cómo estas interpretaciones dan forma a las prácticas organizativas. Para ello, se aplican metodologías de investigación cualitativas y cuantitativas para examinar hasta qué punto y cómo la experiencia directa de los fenómenos naturales, como los efectos del cambio climático o las catástrofes naturales, afecta a las respuestas y resultados de las organizaciones. Un primer estudio de métodos mixtos sobre productores de cacao en Brasil explora cómo los responsables de la toma de decisiones en contextos vulnerables experimentan las consecuencias del cambio climático y cómo sus diferentes interpretaciones dan forma a las respuestas adaptativas organizativas. Conciliar la escala local y la global, necesarias para abordar estos retos de sostenibilidad, no es nada trivial. Por ello, un tercer estudio pretende hacer una contribución teórica a las tensiones que surgen entre la aplicación local de prácticas sostenibles y la necesidad de coordinación global en el contexto de las normas voluntarias de sostenibilidad. En conjunto, los tres estudios de esta tesis doctoral pretenden contribuir en la interrelación local entre las organizaciones y el sistema natural en el que están inmersas, para entender cómo las interpretaciones organizativas de los fenómenos naturales locales afectan a las organizaciones y cómo pueden abordarse eficazmente las tensiones entre los niveles local y global. Environmental sustainability issues, such as climate change, are often global in scale but necessarily local and material in their manifestations. Yet the sustainability and the management literature has paid little attention to how the natural environment affects organizations and their operations. A burgeoning view in the sustainability literature portrays organizations as embedded in nature and allows for a deeper look at the local interrelations between organizations and the surrounding natural environment. This Ph.D. thesis adopts this perspective to provide a better understanding of how organizations and their members understand and interpret the natural environment in which they are embedded, and how these interpretations shape organizational practices. To that purpose, qualitative and quantitative research methodologies are applied to examine to what extent and how the direct experience of natural phenomena, such as climate change effects or natural disasters, affects organizational responses and outcomes. A first mixed-methods study of cocoa producers in Brazil explores how decision makers in vulnerable contexts experience the consequences of climate change and how their different interpretations shape organizational adaptive responses. This study focuses on the immediate organizational responses to adverse natural phenomena. A second study empirically investigates the long-term effects of experiencing natural phenomena on the organizational outcomes. Based on analyzing quantitative data on Japanese companies in the context of the Great East Japan Earthquake, this study proposes the concept of organizational post-traumatic growth to capture the emerging change in organizational values and responsiveness to social needs following the natural disaster. These studies hone in on local interrelations between organizations and the natural environment in which they are embedded. While this approach contributes to the burgeoning literature on organizations and the natural environment, it also implies a risk to get lost in the myriad of specificities and interpretations that characterize each context and that need to be integrated with the global scale of sustainability issues. Reconciling the local and global scale that are both required to address these sustainability challenges is far from trivial. Therefore, a third study aims to make a theoretical contribution to the tensions emerging between the local implementation of sustainable practices and the need for global coordination in the context of voluntary sustainability standards. Together, the three studies of this Ph.D. thesis aim to delve into the local interrelation between organizations and the natural system in which they are embedded, to understand how organizational interpretations of local natural phenomena affect organizations and how tensions between local and the global levels can be effectively addressed. The main arguments are grounded in both theory and empirical evidence, thereby providing a comprehensive methodological approach apt to make substantial contributions to the study of organizations and the natural environment.

Jag vill utforska minatankar och undersöka hur jag kan betrakta och visa detta från olika vinklar.Ett ställe där natur och av människan skapade objekt samspelar, men där naturenblir styrd av objektens väggar, blommor kan tränga sig igenom kompakta materialsom asfalt och nerbrytningsprocessen är en oändlig del av detta. Med dessa flaskor vill jag visa hur naturen fångas in i ett bestämt element och lever av det som serveras den.

Other Nature Other nature is a long term, ongoing documentary project that explores the relationship between humans and the natural environment of the Mojave Desert. Predicated on the reduction of the Joshua Tree woodlands that surround my home of Hesperia, Other Nature examines and questions the practices used in the creation of the built environments that are replacing the Mojave’s endemic terrain. Through various techniques, I document and record the systematic removal of the Mojave’s natural presence. Photography, eco-printing and paper making all offer a cathartic approach to witnessing the loss of these natural spaces. Included in my work is an aspect of gathering and reclaiming removed plant material to commemorate the beauty of and offer a voice to a habitat that is being forever changed. Fred Brashear Jr.

My imagery comes from what I see in nature. From a hollow in a tree to a break in the clouds, absence is a recurring motif. These spaces intrigue me, and I begin to wonder where they might lead. The structures becomes one rounded, spreading volume. By printing on both sides of the paper, two images intertwine: one drawing attention and the other subtly shifting beneath the surface. The work becomes an expression of the intricacies and depth of natural forms. Ultimately, I want to take on the processes of nature and embody them in my own works of art.

Ce texte accompagne mon exposition finale, ma pratique, mon projet. Je l’ai conçu ainsi comme partie intégrante du tout, mais sa lecture seule sans accès au reste pourrait aussi être considérée dans le cas où l’un ou plusieurs des aspects particuliers de celui-ci intéressentle lecteur. Notons aussi l’importance des figures qui témoignent justement de ce qui ne sera pas décrit, mais qui vont naturellement dans le même sens que ce qui l’est. La méthodologie générale est de présenter l’universel duquel le mécanisme et l’existence du particulier peuvent être compris et interprétés.Il sera question ici de définir le champ et mode d’action de l’art et de la philosophiede ma pratique, depréciser la vie de l’artiste en tant que projet ainsi quede proposer l’art en tant que décor. L’ensemble vise à être reçucomme un questionnement, une recherche, une tentative de compréhension et d’expression de notre nature humaine.Celle-ciest interprétéede deux façons; premièrement comme ce qui fait la spécificité de l’humain et deuxièmement par le paradoxe de la création d’une nature qui serait proprement humaine.

Анотація:
This project has evolved from my own observation of our deteriorating living environments. I am exploring the development of a visual story to represent my contemplation of humankind's consumption, and how it endangers the balance of the natural world. Through drawing and animation, I hope to develop a visual language and an approach to storytelling that will inspire people to think about balancing economic, environmental, and ethical issues in design and development, and to advocate a simple honest life and noninterference with the necessary course of natural events.

The chaotic nature of weather phenomena is the catalyst for visual exploration of the subterranean catacombs of reality. The work is metaphor of nature and its creation of form and substance. Анотація:
In my artwork, I merge nature with typography. I use macro-level photography to capture details of nature, such as the pistils of a flower or the sensory hairs of an insect. I print enlargements and transfer these photos onto pages of poetic text about nature, or collage them onto canvas. Once transferred, I use multiple media to alter and enhance features of the photos. I intentionally obscure much of the text which allows me to place focus on the overall layout and design. The arrangement of lines of text and spacing of words is used to create a visual rhythm. The poetic script acts as a foundation or platform for presenting the often unnoticed elements of nature. In developing a piece, I use a wet transfer which allows me to obtain subtle textures and imperfections that occur from the process. To add visual interest and complexity, I continue to manipulate the surfaces with various media and marks. This approach helps to create a blending of text and image. Similar to reading a poem or observing nature, I want to engage the viewer in an experience of visual poetry.
