Abstract:
We examine the value of outsiders by voting behavior of boards. Our model proves that boards with a majority of trustworthy but uninformed outsiders can implement institutionally preferred policies and augment corporate performance by upgrading resource allocation. Our laboratory experiments strongly support this conclusion that higher proportion of appointed outsiders yields more efficient boards. We also find outsider-dominated boards, given enough time, will reduce information asymmetry among directors and thereby execute institutionally preferred policies

Corporate governance reform in Japan was triggered by the introduction of a new corporate governance code in 2015. The code is notable for requiring the addition of two or more independent directors to the boards of listed firms, which previously had consisted largely of internally promoted directors enjoying lifetime employment. Applying the framework of behavioral law and economics, we analyze the change from the two aspects of “offense” and “defense” by the board of directors, meaning, respectively, enhancing the quality of group decision-making by producing collective intelligence, and pre

Inside directors are better informed regarding the quality of firm investment projects, but outsiders can use CEO succession to motivate insiders to reveal their superior information and help the board implement higher value projects. Abstract:
The report outlines how ADB managed its support for RCI, and how the bank continued leading development partners in assisting major RCI subregional programs. It notes that, in the medium term, promoting wider, deeper, and more open RCI to support the region’s recovery will require further resources. These include a broader base of quality RCI skills and financial resources mobilized from within and outside ADB. The report follows the 2017 ADB corporate progress report on RCI and is the first such report under ADB’s Strategy 2030.
