This chapter examines the legal consequences where an employer lawfully or unlawfully terminates the contract of employment. It considers the competing elective theory of termination and automatic theory of termination, along with statutory intervention in the form of minimum periods of notice set out in section 86 of the Employment Rights Act 1996. Stress is placed on the importance of using the correct terminology in this area of the law and bilateral, unilateral, and non-lateral terminations are defined. Further discussion covers suspension of contract and the conduct of disciplinary hearings. Finally, the remedies available to employees in the case of a wrongful dismissal are addressed, including the circumstances in which a claim for damages is likely to be successful.

The aims of this book are to set out in detail the rules governing termination as a remedy for breach of contract in English law, to distil the very complex body of law on the subject to a clear set of principles, and to apply the law in a practical context. This book is divided into four parts. The first section sets out to analyse what is involved in termination and looks at some of the difficulties surrounding the topic, before going on to explain the evolution of the present law and its main principles. The second section provides a thorough analysis of the two key topics of breach and termination. The third section addresses the question when the right to terminate for breach arises. And the fourth and final section considers the consequences of the promisee's election whether to terminate or not. The final chapter examines the legal consequences of affirmation, once again both with regard to the promisee and the promisor, with particular emphasis on the extent of the promisee's right to enforce the performance of the contract by way of an action for an agreed sum or an action for specific performance.

Chapter 39 concerns the effect of mistake in contract law. Traditionally, contract law has recognized four categories of mistake: misunderstanding, unilateral mistake, mutual mistake, and mistranscription. The names of these categories fail to describe contractual mistakes according to their functional characteristics, and many of the rules that govern these categories turn on elements that are of only limited functional significance, easy to manipulate, or both. The first step in developing a functional analysis of mistake is to analyze contractual mistakes on the basis of their character. The second step is to analyze the rules that should govern each type of mistake based on policy, morality, and experience. This chapter sets out the general parameter of these analyses.

When a contract to be performed over a period of time is terminated, Art 7.3.7 stipulates that restitution can only be claimed for the period after termination has taken effect, provided the contract is divisible. The purpose of this provision is to exclude retroactive restitution after termination of a divisible contract which was to be performed over a period of time, based on the idea that ‘it may be inconvenient to unravel performances that may have been made, in the past, over a long period of time’.

Lawful termination refers to a termination which has been declared (in time) and which is based on a valid ground for termination. Under Art 7.3.2, termination of the contract has to be made by notice to the other party and sets a time limit for giving notice in certain cases of breach. The provision serves two objectives: first, it aims to prevent the aggrieved party from speculating on market fluctuations by postponing its decision on whether or not to terminate and, secondly, it allows the non-performing party to avoid any losses due to uncertainty as to whether the aggrieved party will terminate the contract. This commentary also discusses time limits for the exercise of the right to terminate and the burden of proof concerning notice of termination.

It begins by discussing the problematic influence of Dutch colonial law in this area—in particular, the Civil Code and Commercial Code, both 19th century Dutch-language texts—before explaining the operation of Article 1365 of the Civil Code, the main source of civil liability (tort) in Indonesia. After covering vicarious liability and agency, the chapter provides a summary of contract law, including the elements of a valid contact, performance, termination, and material and immaterial damages. It also deals with formal requirements, including notarisation and rules that require some contracts to be in Indonesian. It concludes with an account of consumer, e-commerce and construction contracts, to which particular rules apply.
